Transaction Structure and Timeline
The total purchase price of $204 million includes up to $84 million in earn-out payments contingent on performance, subject to customary adjustments for working capital, indebtedness, transaction expenses, and cash. The transaction structure involves a 100% equity acquisition, with Crown Bioscience (搜索) becoming a wholly owned subsidiary of Adicon upon completion.
The closing is subject to customary conditions, including shareholder approval and regulatory clearances, with an outside date of nine months plus an automatic extension for three months.
