Amneal Pharmaceuticals Acquires Kashiv BioSciences for $750 Million to Create Global Biosimilar Leader

Amneal Pharmaceuticals has entered into a definitive agreement to acquire Kashiv BioSciences (搜索) for $375 million in cash and $375 million in equity, plus up to $350 million in potential milestone payments, creating a fully integrated global biosimilar platform positioned to capitalize on an unprecedented wave of biologic patent expirations.
The transaction, announced April 22, 2026, comes as more than $300 billion worth of global biologics are expected to lose exclusivity over the next decade, representing a significant opportunity for biosimilar manufacturers. The deal is subject to Amneal shareholder approval, regulatory clearances, and customary closing conditions, with completion expected in the second half of 2026.

Kashiv BioSciences (搜索), headquartered in Piscataway, New Jersey with operations in the U.S. and India, is among a select group of U.S.-based companies with proven end-to-end biosimilar capabilities across development and manufacturing. The company has received marketing authorization for multiple biosimilars and maintains a robust pipeline of advanced clinical-stage assets.
The acquisition combines Kashiv's extensive R&D and manufacturing expertise with Amneal's commercial scale and distribution capabilities. By 2030, the combined entity expects to have more than 12 commercial biosimilars and over 20 additional products in the pipeline, enabling multiple new biosimilar launches each year.
Financial Synergies and Growth Profile
The transaction is expected to generate $400 million to $500 million in financial benefits through the elimination of upcoming milestone and royalty obligations through 2030, along with incremental tax and structural benefits. Amneal projects minimal impact to its leverage profile with a clear path to deleveraging below 3x net leverage by 2028.

Strong Q1 Performance Drives Guidance Raise
Concurrent with the acquisition announcement, Amneal reported preliminary first quarter 2026 results showing consolidated net revenue of $723 million, up 4% from the prior year. The company's Specialty segment delivered particularly strong performance with 23% growth to $133 million, driven by CREXONT (搜索) ($21 million), the recently launched BREKIYA (搜索) autoinjector ($5 million), RYTARY ($44 million), and UNITHROID ($36 million).
Affordable Medicines net revenue increased 2% to $423 million, reflecting strong performance in the complex portfolio including Women's Health and ADHD (搜索) medicines. AvKARE revenue declined 4% to $166 million as growth in the government channel was offset by declines in the low-margin distribution channel.
The portfolio shift drove significant margin expansion, with gross margin increasing 750 basis points to 44.3% and adjusted gross margin rising 510 basis points to 48.2% compared to the prior year. Adjusted EBITDA grew 19% to $202 million, while adjusted diluted earnings per share increased 29% to $0.27.
Based on the strong first quarter performance, Amneal raised its full-year 2026 standalone guidance. The company now expects adjusted EBITDA of $740 million to $770 million, up from previous guidance of $720 million to $760 million. Adjusted diluted earnings per share guidance increased to $0.95 to $1.05 from $0.93 to $1.03.
Building on Decade-Long Partnership
The acquisition builds on a collaboration between Amneal and Kashiv spanning more than ten years. The combined platform will leverage Kashiv's vertically integrated infrastructure and highly skilled teams providing global R&D, clinical, manufacturing, regulatory, and intellectual property capabilities alongside Amneal's established commercial presence delivering more than 160 million prescriptions annually across approximately 300 complex generic, specialty and biosimilar medicines.
J.P. Morgan Securities served as financial advisor to Kashiv, while Goldman Sachs advised Amneal's independent directors. The transaction represents a strategic milestone for both companies as they position to lead in the expanding biosimilar market and deliver affordable biologic therapies to patients worldwide.
