Financial Structure and Strategic Rationale
Under the definitive agreement, Apnimed (search) will receive a $100 million upfront cash payment and an additional $50 million upon achievement of a development milestone related to SASS-002 (search) (sulthiame). The company will also receive tiered royalties on future commercial sales of products arising from SASS (search) intellectual property. The transaction is expected to close in the second quarter of 2026.

The drug represents a first-in-class combination of aroxybutynin (search), a novel antimuscarinic, and atomoxetine, a selective norepinephrine reuptake inhibitor (search) (NRI).
The once-daily pill taken at bedtime is designed to lower the complexity of intervention through its combined pharmacological synergy targeting the underlying neuromuscular cause of OSA (search).
