(搜索) have cleared a critical milestone toward completing their all-stock merger, with shareholders of both companies voting to approve the transaction on June 9, 2026. The merger, originally announced on July 16, 2025, will see DiamiR become a wholly owned subsidiary of Aptorum Group, with the combined entity set to be renamed Niki BioSolutions, Inc. upon closing, which is expected before fiscal 2027.

DiamiR and AlzLabs Launch Alzheimer's Biomarker Collaboration
In a parallel development announced on June 22, 2026, DiamiR revealed a collaboration with AlzLabs Precision Diagnostics (搜索) to generate protein and microRNA blood-based biomarker data focused on Alzheimer's disease (搜索). The study will measure blood biomarkers of neurodegeneration — including p-Tau 217 (搜索), amyloid 42/40 (搜索), neurofilament light (NfL) (搜索), and other analytes — in well-characterized blood plasma samples collected from study participants whose amyloid status was determined by amyloid PET, the current gold standard.
"Blood biomarkers have emerged as highly promising signature molecules of various stages of Alzheimer's disease (搜索)," said Mireskandari. "Our objective is to evaluate these biomarker panels as standalone tests and in combination with DiamiR's proprietary microRNA platform technology, CogniMIR (搜索)."
The longer-term goal, according to Mireskandari, is "to offer a broad range of non-invasive brain health biomarkers for clinical testing and biopharma services in our CLIA-certified, CAP-accredited clinical laboratory to deliver a more comprehensive assessment of neuropathology to clinicians, clinical researchers, and patients."

DiamiR's proprietary platform technology, protected by over 50 issued patents worldwide, is based on quantitative analysis of organ-enriched — including brain-enriched and inflammation-associated — microRNA signatures in plasma. The technology is designed for screening, patient stratification, as well as disease progression and treatment monitoring. The completion of the merger remains subject to the satisfaction or waiver of remaining customary closing conditions described in the merger agreement. The registration statement on Form S-4 (File No. 333-290742) was declared effective by the SEC on May 13, 2026, and notice of the shareholder meeting was mailed to Aptorum shareholders on May 20, 2026.
