Noteholders will have conversion rights under certain circumstances, with Arrowhead retaining the option to settle conversions through cash, shares, or a combination of both.
The notes include redemption provisions allowing Arrowhead to repurchase them starting January 16, 2029, provided the company's stock price exceeds 130% of the conversion price for a specified period. Additionally, noteholders may require repurchase if certain "fundamental change" corporate events occur.
