According to one life science-focused ECM banker, "By the amount of proceeds in a single night, Tuesday was the busiest day ever in biotech."
The fundraising surge comes as biotech stocks have rallied significantly in the second half of 2025, with the NYSE Arca Biotechnology Index gaining 27% year-to-date compared to a 17% gain in the S&P 500. The timing coincided with the conclusion of ASH's annual meeting, which served as a catalyst for several companies to present positive trial data and subsequently raise capital.
Terns Pharmaceutical Leads with $650 Million Raise
Terns Pharmaceutical (搜索), a Phase I developer of leukemia (搜索) drugs, capitalized on strong ASH presentations to upsize its follow-on stock offering to $650 million, representing a 62.5% increase from the original $400 million target. The company's shares surged 37% on Monday and rose another 5.8% to $42.57 on Tuesday as the deal was marketed.
Joint bookrunners Jefferies, TD Cowen and Leerink Partners priced 16.3 million shares at $40, representing a 6% discount to the last sale but only a 2.5% file-to-offer discount from Monday's closing price of $40.23.
At ASH, Terns presented Phase I trial results demonstrating a 64% response rate among leukemia (搜索) patients tested, with response rates rising to 75% at the higher dosage planned for Phase II trials. The company believes its drug has best-in-disease potential for patients with relapsed myeloid leukemia. Barclays analysts project peak annual sales of $2.5 billion if the drug receives approval.
With just over $900 million in cash following the raise, Terns has sufficient funding to advance trials of its leukemia (搜索) drug through 2028 and beyond.
Fulcrum Therapeutics Raises $175 Million for Sickle Cell Treatment
Fulcrum Therapeutics leveraged its ASH presentation on sickle cell disease (搜索) to raise $175 million through a one-day marketed follow-on, representing a 16.7% upsize from the original $150 million target. The company's shares soared 45.9% ahead of the deal launch on Monday and gained another 12.4% to $14.60 before pricing.
JP Morgan, Leerink Partners, Cantor and Oppenheimer priced 13 million shares at $13.50, a 7.5% discount to the close but at a premium to Monday's closing price of $12.99.
The Phase Ib trial results presented at ASH showed that expectant mothers with sickle cell disease (搜索) who received Fulcrum's drug demonstrated meaningful increases in fetal hemoglobin (搜索) levels after just six weeks of treatment. The funding adds to the $200.7 million in cash the company held as of September 30, which management had previously indicated was sufficient to fund development through the end of next year.
Truist Securities analysts estimate peak annual sales for Fulcrum's sickle cell disease (搜索) drug at $860 million by 2034 if approved.
Broader Fundraising Activity
Six additional companies raised capital on Tuesday night without presenting at ASH, including Denali Therapeutics ($200 million), Dyne Therapeutics ($350 million), Kymera Therapeutics (搜索) ($602 million), Structure Therapeutics ($650 million), Vera Therapeutics ($291 million), and Wave Life Sciences ($350 million).
Seven of the eight deals were upsized after one day of public marketing, and all traded above their issue prices. "Deals are working and that helps everyone," noted the life science-focused banker.
Additional Biotech Fundraising Activity
The fundraising momentum continued beyond Tuesday's record night. Biohaven (搜索) raised $175 million through an overnight stock sale despite recent clinical setbacks, including a failed Phase III trial for its lead drug in obsessive-compulsive disorder (搜索) and FDA rejection for a neurological coordination disorder treatment. JP Morgan and Goldman Sachs priced 23.3 million shares at $7.50, giving the company more than $440 million in cash to potentially redirect toward other pipeline drugs for obesity, epilepsy (搜索), depression (搜索), and Graves' disease (搜索).
Annexon secured $75 million to complete Phase III trials for its rare neurological disease treatment by next year, while Verastem raised $90 million following the launch of its ovarian cancer (搜索) drug combination therapy, which generated $11.2 million in third-quarter revenue.
