U.S. pharmaceutical distributor Cencora announced Monday it will acquire the retina-care business of EyeSouth Partners (搜索) for $1.1 billion, marking another significant expansion of its specialty medical services portfolio. The transaction will integrate the privately held eye-care network's retina-focused physicians into Cencora's existing eye-care division, Retina Consultants of America (搜索).
Strategic Consolidation in Retina Care
The acquisition represents Cencora's continued focus on higher-margin, specialty-focused segments as the company reshapes its business portfolio. Cencora acquired Retina Consultants of America (搜索) from private equity firm Webster Equity Partners (搜索) for $4.6 billion in 2024, establishing its foundation in the eye-care market.
According to J.P. Morgan analyst Lisa Gill, this buyout marks "the third major retina-focused eye-care network bought by a distributor," following Cencora's RCA acquisition and competitor McKesson's 2025 acquisition of PRISM. The trend reflects broader consolidation in the specialty care distribution market.
Expanding Specialty Portfolio
Cencora has accelerated its dealmaking activity over the past year while simultaneously divesting non-core operations. In 2025, the company took full control of OneOncology (搜索) for $5 billion in cash, strengthening its cancer-care services capabilities. The company also announced plans to divest its MWI Animal Health (搜索) unit through a merger with privately held animal health distributor Covetrus in a deal valuing the business at $3.5 billion.

Market Dynamics and Growth Prospects
Gill noted that the retina drug market is positioned to benefit from a new wave of biosimilars, including the 2024 approval of Regeneron's Eylea biosimilar, which she expects "will deliver a meaningful profit driver for Cencora." This development could enhance the economic value of the expanded retina care network.
Financial Impact
Cencora expects the acquisition to be slightly accretive to adjusted diluted earnings per share in the first twelve months following transaction closing, after accounting for financing costs. The company stated that its annual outlook does not include any benefit from the transaction as it does not assume the deal will close during its current fiscal year.
Shares of Cencora rose over 2% in premarket trading following the announcement, reflecting investor confidence in the strategic expansion into specialty care services.
