Pharmaceutical giant Eli Lilly and Company (NYSE: LLY) has announced plans to acquire clinical-stage psychedelic medicine company AtaiBeckley Inc. (search) (NASDAQ: ATAI) in a transaction valued at up to $3.8 billion, marking one of the largest investments in psychedelic-inspired mental health treatments to date.
The agreement includes an upfront cash payment valuing AtaiBeckley at approximately $2.8 billion, with shareholders eligible for an additional $1 billion contingent upon the achievement of key clinical and regulatory milestones. Lilly will pay $6.75 per share in cash, alongside contingent value rights linked to the progress of AtaiBeckley's lead drug candidates. The announcement sparked strong investor enthusiasm, with AtaiBeckley shares surging approximately 30% following the news.
The transaction is expected to close in the third quarter of 2026, pending shareholder and regulatory approvals.
Strengthening Lilly's Neuroscience Portfolio
The acquisition is expected to significantly bolster Lilly's neuroscience portfolio by adding AtaiBeckley's two lead investigational therapies: BPL-003, an intranasal therapy for treatment-resistant depression (search) (TRD), and VLS-01, a DMT-based therapy currently in mid-stage clinical development.
BPL-003 has already received the U.S. Food and Drug Administration's Breakthrough Therapy Designation and has entered Phase 3 development after producing encouraging results in clinical trials. According to Lilly, AtaiBeckley's therapies target the biological causes of depression by restoring synaptic connectivity and promoting the growth of new neural connections, offering a fundamentally different approach from traditional antidepressants that primarily regulate neurotransmitters.
"Treatment-resistant depression (search) persists even after multiple treatments have failed. Millions of people are still searching for relief and desperately need a therapy that works," said Carole Ho, Executive Vice President and President of Lilly Neuroscience. She added that advancing AtaiBeckley's therapies gives the company "a real chance to change that."
Leadership Perspectives on the Deal
AtaiBeckley Chief Executive Officer and co-founder Srinivas Rao described the transaction as an opportunity to accelerate the development of innovative psychiatric medicines. "Across our portfolio, we're seeking to demonstrate that psychiatric illness is treatable at its biological root, not just its symptoms," he said, noting that Lilly's global expertise is expected to help bring the therapies to patients faster.
Christian Angermayer, AtaiBeckley's founder, largest shareholder and chairman of the board, also welcomed the acquisition, saying joining Lilly provides the resources and scale needed to advance the company's mental health pipeline more rapidly. He called the deal "the best path forward for patients and shareholders."
VLS-01 Advances with Phase 2b Milestone
In a separate but related development, AtaiBeckley announced it had completed dosing the final patient in its Phase 2b Elumina trial evaluating VLS-01, an investigational oral transmucosal film formulation of NN-Dimethyltryptamine (search) (DMT), for adults with treatment-resistant depression (search). The international, randomized, double-blind, placebo-controlled study enrolled 156 patients, with topline efficacy and safety data expected in the fourth quarter of 2026.
The primary endpoint measures changes in depression severity after 29 days. Beyond the ongoing TRD study, AtaiBeckley outlined broader development ambitions for the program. Subject to positive Phase 2 results and regulatory alignment, the company intends to advance VLS-01 into a Phase 3 program in major depressive disorder (search) (MDD), while also viewing generalized anxiety disorder (search) (GAD) as a future expansion opportunity.
"With BPL-003 advancing in treatment-resistant depression (search) through our recently initiated Phase 3 program, we have the opportunity to direct VLS-01 toward patients across the broader spectrum of depressive illness," Rao said.
Broader Implications for Psychedelic Medicine
The Lilly-AtaiBeckley deal highlights growing pharmaceutical industry confidence in next-generation therapies targeting some of the most challenging mental health conditions. The acquisition comes as the broader psychedelic medicine sector continues to mature, with Compass Pathways also reporting positive six-month results from its Phase 3 COMP006 trial of COMP360 synthetic psilocybin for TRD, reinforcing rapid and durable efficacy with a rolling NDA submission underway and potential commercial launch in the first half of 2027.
Both companies' boards have unanimously approved the merger, while AtaiBeckley's independent special committee also recommended the deal after concluding it was in the best interests of the company's shareholders.
