SK Capital Partners (search) has announced the strategic divestiture of Noramco's active pharmaceutical ingredient (API) assets to Siegfried Holding AG, a global contract development and manufacturing organization based in Switzerland, while positioning Halo Pharma (search) as an independent drug product CDMO.
The transaction, which is subject to customary closing conditions and regulatory approvals, will separate the Noramco Group's API operations from its drug product manufacturing capabilities. Following the deal's completion, SK Capital will retain ownership of Halo Pharmaceuticals, transforming it into a standalone contract development and manufacturing organization focused exclusively on drug product services.
Strategic Focus on Drug Product Manufacturing
Halo Pharma (search) operates facilities in Whippany, New Jersey and Mirabel, Quebec, and will continue offering oral solids, liquids, and semi-solids manufacturing services from both locations. The company's strategic repositioning aims to capitalize on growing demand for specialized drug product manufacturing services in North America.
"Anytime you can focus on doing one thing really well, success is inevitable," said Lee Karras, current Noramco Group CEO who will transition to lead Halo Pharma (search) as CEO after the transaction closes. "I look forward to working with the Halo teams more directly at both sites."
Sterile Manufacturing Expansion
A key component of Halo's growth strategy involves expanding into sterile fill/finish capabilities. The company's sterile CDMO business is expected to be operational in the second half of 2026, featuring a state-of-the-art Groninger UFVN FlexFill filling line and Skan isolator system.
The new sterile manufacturing line will accommodate multiple container formats, including vials (2-30 mL), syringes (0.5-10 mL), and cartridges of various sizes in ready-to-use formats. To support this sterile investment, Halo has recently launched capabilities for sterile product development, including analytical testing and formulation services.
Market Interest and Future Outlook
According to Karras, the company has already generated significant interest from established pharmaceutical companies seeking to secure sterile CDMO services in advance of the facility's launch. This early market validation suggests strong demand for Halo's specialized manufacturing capabilities.
The divestiture strategy allows Halo to concentrate resources on expanding its drug product manufacturing services while Siegfried acquires Noramco's API-related operations, including subsidiaries Extractas Bioscience (search) and Purisys (search). Halo Pharma (search) was originally acquired by the Noramco Group from Cambrex in 2023.
