The acquisition's financial structure includes a guaranteed purchase price of $55 million paid over five years, with an initial payment of $10 million at closing. An additional $95 million in contingent payments based on future performance milestones brings the total potential value to $150 million, making the headline figure contingent on Bioniq (search) achieving all post-integration targets.

Bioniq (search), founded in 2019 by former professional basketball player Vadim Fedotov, operates on the premise that generic multivitamins are inefficient compared to supplements calibrated to individual blood biomarker results. The company's platform processes blood biomarker data alongside health questionnaires to generate personalized daily formulas, supported by over six million biomarker data points collected across five continents.

The company operates across 95 markets through more than two million independent distributors, a model that has proven effective at scale but has limited ability to deliver individualized product experiences that direct-to-consumer healthtech companies have built.

Bioniq (search) has attracted notable investors and customers, including soccer star Cristiano Ronaldo, who made a significant investment in October 2024 after being a customer since 2022. The investment raised Bioniq's valuation from $75 million to $82 million. Manchester United defender Diogo Dalot followed with an investment exceeding €1 million in February 2025.
