The Board of Directors approved the separation on April 23, 2026, with the new entity (SpinCo (search)) expected to complete concurrent financing and pursue a public listing on the Canadian Securities Exchange (search).
BPC-157 Program Development
The spin-out centers on the pre-clinical development of a subcutaneous injectable BPC-157 drug candidate specifically targeting refractory ligament disorders (search). HYTN has assembled a comprehensive manufacturing, operating, regulatory and quality framework to support the program's advancement into clinical development stages.
The company has selected a Canadian GMP-certified sterile pharmaceutical contract manufacturing organization for initial manufacture of sterile BPC-157 drug product and chosen an approved medical device platform to support dose-controlled subcutaneous administration. This infrastructure positions the program for regulatory advancement through multiple pathways.
Regulatory Framework and Compliance
HYTN has established frameworks to support advancement through both Clinical Trial Application (CTA) and Special Access Program (SAP) pathways. The program has been structured in accordance with Health Canada, European Medicines Agency (search), and U.S. Food and Drug Administration (search) principles to maintain future regulatory optionality across multiple jurisdictions.
The company has developed pharmaceutical-grade infrastructure to manage the program in full compliance with GMP standards, including systems for manufacturing control, packaging and labelling, batch release, warehousing, controlled distribution, traceability, documentation and quality oversight.
Clinical Support Infrastructure
HYTN is advancing specialized clinic-facing support systems designed to reduce administrative burden on physicians participating in Health Canada's Special Access Program relating to peptide dispensation. These systems include logistics, documentation assistance and case coordination while preserving future supply chain flexibility through additional GMP activities.
Transaction Structure and Financing
Subject to final structuring, HYTN shareholders are expected to receive shares of SpinCo (search) as part of the proposed spin-out. HYTN may also receive additional SpinCo shares as partial consideration, with final terms to be determined under definitive transaction documents.
Concurrently with the spin-out completion, SpinCo (search) intends to complete a non-brokered private placement of up to CAD $1,000,000 through unit issuance. The net proceeds will fund advancement of SAP and CTA activities, manufacturing, regulatory and operational workstreams, expansion of patient data collection and supporting infrastructure, partial consideration to HYTN, and general working capital.
Management Team
Upon completion, SpinCo (search) is expected to have a dedicated management team appropriate for pre-clinical drug development. Fabian Monaco, HYTN Board Member, is expected to serve as CEO, while Jason Broome, HYTN COO, is expected to serve as Chief Science Officer. The initial board is expected to include Elliot McKerr, HYTN CEO.
The proposed spin-out reflects HYTN's view that the peptide drug development business is best advanced in a dedicated vehicle with its own capital base, management focus and development mandate, while preserving shareholder value created through HYTN's incubation of the business.
