invoX Pharma (搜索) Limited, a U.K.-based wholly-owned subsidiary of Sino Biopharmaceutical Limited (HKEX 1177 HK), has successfully completed its acquisition of F-star Therapeutics (搜索), Inc. (NASDAQ: FSTX) for an aggregate cash consideration of approximately $161 million, or $7.12 per share. The transaction received all required regulatory approvals, including clearance from the UK's National Security and Investment Act regulatory agency and the Committee on Foreign Investment in the United States.
Strategic Platform Acquisition
The acquisition provides invoX with access to F-star's pioneering tetravalent (2+2) bispecific antibody platform, designed to create a paradigm shift in cancer therapy. F-star has developed internal discovery capabilities that enable the creation of next-generation immunotherapies for cancer patients through differentiated bispecific antibodies.
The transaction brings a highly experienced scientific team of more than 100 full-time employees with deep expertise in antibody engineering, immunology, drug discovery, clinical development and regulatory affairs. This team, primarily based in Cambridge, UK, will continue to oversee ongoing clinical trials and establish Cambridge as invoX's international center of excellence for antibody research and clinical development.
Clinical Pipeline Assets
F-star's lead asset, FS118, is a bispecific antibody designed to inhibit both PD-L1 (搜索) and LAG-3 (搜索) immune checkpoints. The drug is currently undergoing Phase 2 trials in head and neck cancer patients with acquired resistance to checkpoint inhibitors, as well as in checkpoint inhibitor-naïve patients with non-small cell lung cancer (NSCLC) and diffuse large B-cell lymphoma (DLBCL).
The clinical-stage pipeline also includes FS222, a dual CD137 (搜索) (4-1BB) stimulator and PD-L1 (搜索) inhibitor currently in Phase 1 trials, and FS120, a dual stimulator of OX40 (搜索) and CD137 (4-1BB) also in Phase 1 trials.
Partnership Value and Future Growth
The acquisition maintains F-star's existing partnerships with multinational pharmaceutical companies for research, development and commercialization of novel bispecific antibodies using F-star's proprietary platforms. These partnerships represent potential milestone payments totaling $2.2 billion, positioning invoX uniquely to expand collaborations with multinational pharmaceutical firms through its geographical reach and innovative R&D platform.
Ben Toogood, Chief Executive Officer of invoX, commented: "The closing of the transaction today significantly strengthens invoX's pharmaceutical business, accelerating the build of a pipeline with a core focus on oncology and respiratory therapeutics. Most importantly, it provides the capital to ensure patients enrolled in its clinical studies will continue to have access to potentially life-saving therapies."
Enhanced Capabilities and Strategic Rationale
The transaction accelerates invoX's growth through access to a world-leading bispecifics platform and experienced team. F-star's platform is supported by an extensive intellectual property estate with over 500 granted patents and pending patent applications relating to its platform technology and product pipeline.
For Sino Biopharm, the acquisition reinforces its immuno-oncology pipeline with three clinical-stage bispecific antibodies, complementing the Group's core checkpoint inhibitor portfolio and other pipeline assets. The transaction enhances Sino Biopharm's R&D capabilities with F-star's expertise in antibody engineering, drug discovery, translational science and biomarker discovery.
The strategic acquisition positions invoX to deliver innovative oncology drugs addressing unmet clinical needs globally, while strengthening its clinical and regulatory capabilities for future asset development. The transaction represents a significant step in invoX's goal to become a fully integrated biopharmaceutical company with a pipeline of innovative products addressing unmet healthcare needs worldwide.
