The partnership pairs AbCellera's artificial intelligence-driven antibody discovery platform with Jazz's oncology development and commercialization capabilities. Under the agreement, AbCellera will lead discovery and early research activities for two initial programs, with a commitment to launch a third program within 12 months. Jazz retains an exclusive worldwide option to further develop and commercialize any therapies emerging from the collaboration.
Financial Structure and Milestone Potential
AbCellera will receive $56 million in upfront consideration tied to the first two programs. A further $28 million payment becomes payable upon initiation of the third research program, bringing the potential upfront value of the initial collaboration to $84 million.
Should Jazz exercise its development option, AbCellera would become eligible for up to $792 million per program in option fees and milestone payments linked to progress across clinical development, regulatory approvals, and commercial sales performance. Additionally, AbCellera is entitled to tiered royalties on future net sales, ranging from mid-single-digit percentages to low double-digit rates.
Strategic Fit and Technology Platform
Jazz's Chief Scientific Officer for Oncology, Josh Allen, noted that the partnership complements the company's existing expertise in cancer treatment development and supports its broader strategy of expanding the oncology pipeline, particularly in gastrointestinal cancers (搜索). Jazz recently entered the GI cancer category with the launch of the HER2 (搜索)-directed bispecific antibody Ziihera (zanidatamab) for biliary tract cancer (搜索), with an FDA decision pending by August 25 for potential expansion into gastric and oesophageal adenocarcinoma.
AbCellera founder and CEO Carl Hansen emphasized that the collaboration will leverage the company's T-cell engager platform, including proprietary CD3 (搜索)-binding antibodies, multispecific protein engineering technologies, and high-throughput functional screening capabilities. The Vancouver-based biotech specializes in applying artificial intelligence to drug discovery, specifically to sift through immune system data to identify multispecific antibodies suitable for therapeutic development.
Scope for Expansion
The collaboration provides flexibility for future growth, with both companies able to agree to add as many as two additional research programs beyond the initial three. AbCellera may also support later-stage activities, including investigational new drug-enabling studies and the manufacturing of clinical trial materials.
For AbCellera, the Jazz partnership is the latest in a series of alliances with major pharmaceutical groups, including Eli Lilly, Novartis, AbbVie, and Pfizer, and is the largest among those with publicly disclosed financial terms.
