Deal Structure and Financial Impact
Under the agreement, Ligand will pay $39 per XOMA share in cash, representing approximately a 3% premium to the stock's last closing price. The acquisition adds more than 120 treatments to Ligand's existing portfolio, including seven marketed products, boosting the combined portfolio to more than 200 drugs that are either in development or already commercialized.
Market reaction was positive, with XOMA shares surging 9.7% while Ligand's stock gained 1.6% following the announcement.
Key Assets and Revenue Projections
The seven marketed drugs Ligand gains through the acquisition include notable products such as Roche's Vabysmo, Servier's Ojemda, and Zevra (搜索)'s Miplyffa. Lauren Hay, Ligand's portfolio strategy vice president, indicated that the company expects to earn royalties worth $37.5 million annually at peak from the eye drug Vabysmo alone.
The acquisition also includes one non-transferable contingent right per share, entitling holders to 75% of net proceeds from certain pending litigation tied to XOMA's dispute with Johnson & Johnson subsidiary Janssen around Crohn's disease (搜索) drug Tremfya.
Enhanced Financial Outlook
Ligand characterized the acquisition as immediately accretive and raised its financial guidance accordingly. The company increased its 2026 revenue outlook to a range of $270 million to $310 million, up from the previous forecast of $245 million to $285 million.
The adjusted profit forecast was also elevated to $8.50 to $9.50 per share, compared to the earlier range of $8 to $9 per share. Additionally, Ligand expects a further $1.50-per-share boost in 2027.
Strategic Investment Capacity
Despite the substantial acquisition, Ligand maintains its strategic investment capabilities. Finance chief Tavo Espinoza stated that the company expects to retain capacity to continue executing on its strategy of investing $150 million to $250 million annually in high-value royalty assets.
CEO Todd Davis provided insight into the company's deal-making approach, noting, "we are typically looking at deals in the $25 million to $60 million range. As our portfolio grows in value, the deal size could go up proportionately."
