Deal Structure and Valuation
Under the terms of the agreement, Akero shareholders will receive $54.00 per share in cash at closing, with an additional non-transferable Contingent Value Right entitling holders to receive $6.00 per share upon full US regulatory approval of EFX for treatment of compensated cirrhosis (search) due to MASH (search) by June 30, 2031. The Bagsvaerd-based company will pay an initial €4.7 billion to acquire the firm, with a potential additional payment of €500 million contingent on regulatory approval.
The agreed offer represents a 19% premium to Akero's 30-day Volume Weighted Average Price and a 42% premium to Akero's closing price on May 19, 2025, prior to market speculation.

Akero is a clinical-stage biotech company focused on metabolic diseases, with efruxifermin addressing an area of high unmet medical need. The asset is aimed at treating metabolic dysfunction-associated steatohepatitis (search), a disease caused by fat buildup in the liver, and is currently in late-stage development.
Strategic Context and Market Outlook
The acquisition represents the eighth M&A deal this year for International Biotechnology Trust (search)'s portfolio holdings and the 33rd since 2020. Ailsa Craig and Marek Poszepczynski, portfolio managers of IBT, commented on the broader market dynamics driving such transactions.
"Large pharmaceutical companies face challenging patent expiries over the coming years, driving continued appetite for acquisitions of biotech companies," the portfolio managers stated. "We therefore expect this strong period of M&A activity to persist for the foreseeable future, creating further opportunities for IBT to take advantage."
The managers noted that their investment strategy focuses on identifying potential acquisition targets, which continues to deliver returns for shareholders. As of close of business on October 8, Akero represented 2.9% of IBT's Net Asset Value.

International Biotechnology Trust (search)'s stock price reached 835.45 pence, up 2.4% on Thursday afternoon in London, with a 12-month change showing an increase of 23%. The updated valuation of IBT's holding in Akero was included in the trust's NAV as of close of business on October 9.
