NRx Pharmaceuticals, Inc. (Nasdaq: NRXP) issued a statement on June 25, 2026 responding to public claims made by Kadima Neuropsychiatry Institute (search), one day after Kadima and its founder Dr. David Feifel filed a lawsuit in San Diego County Superior Court alleging breach of contract and misrepresentation in connection with a planned acquisition by HOPE Therapeutics (search), Inc., a majority-owned subsidiary of NRx.
The dispute centers on an Asset Purchase and Contribution Agreement executed on May 9, 2025, under which HOPE Therapeutics (search) would acquire Kadima and Dr. Feifel would join HOPE as Chief Medical Innovation Officer. According to Kadima's complaint, NRx Chairman Dr. Jonathan Javitt approached Dr. Feifel in 2024 with a proposal to acquire Kadima, providing repeated assurances that financing was already secured. The contract included an express representation that the purchaser had "sufficient cash on hand or other sources of immediately available funds" to close the transaction.
Allegations of Misrepresentation
Kadima's complaint details a series of alleged inconsistencies in NRx's representations regarding financing. A January 2, 2025 press release announcing Kadima as NRx's planned flagship acquisition — without referencing any financing contingency — reportedly caused NRx stock to surge more than 40% in a single day. However, within days of signing the agreement, on May 13, 2025, HOPE issued a press release stating the transaction was subject to "finalization of financing," which Kadima asserts was contrary to the express terms of the agreement.
The complaint further alleges that HOPE's May 15, 2025 press release stating that expected debt financing from Universal Capital would fund the Kadima purchase also proved false, as those funds were later used for other acquisitions. Kadima also claims that HOPE and its subsidiary HTX Management Company LLC filed and strategically withdrew an arbitration claim to avoid disclosure of material litigation in NRx's mandatory 10-Q filing with the SEC, then refiled the claim less than 10 days later.
"We are confident that the evidence will demonstrate a clear pattern of intentional deceit by NRx, as it used Kadima's and Dr. Feifel's reputations to boost its share price through press releases and joint investor presentations, but then refused to fulfill its commitment to close the transaction," said Andrew Selesnick, counsel to Kadima and a partner at Buchalter LLP.
NRx's Response and Scientific Pivot
NRx strongly disputes Kadima's characterization. The company stated that it has compelled arbitration over Kadima's "failure to meet key closing conditions contemplated in the related transaction documents including, but not necessarily limited to, the delivery of clear title to Kadima's assets and a material adverse change in the condition of the business."
Critically, NRx emphasized that the scientific direction of HOPE Therapeutics (search) has evolved since the arbitration commenced, moving toward "precise, personalized medicine with a particular emphasis on neuronavigated Transcranial Magnetic Stimulation (TMS) … which is contrary to the approach and technologies supported by Dr. Feifel." The company noted a partnership with Zeta Surgical, which demonstrated the first fully functional robotic neuronavigated TMS system with submillimeter precision at the recent Clinical Transcranial Magnetic Stimulation Society (CTMSS) meeting, and the subsequent treatment of first patients at HOPE locations in Florida.
Management stated that "specific performance, whereby HOPE would acquire Kadima and retain Dr. Feifel as HOPE's Chief Medical Innovation Officer, would not be in the best interests of either the patients or shareholders of the Company and HOPE."
SPARC-TMS Trial and NRX-101
NRx highlighted the recently announced FDA clearance of the Investigational New Drug (IND) application for the SPARC-TMS trial, which will combine NRX-101 with robotic neuronavigated TMS. The trial is slated to begin at civilian and military treatment facilities in the fall, supported by recently published peer-reviewed studies suggesting that the neuroplastic properties of D-cycloserine — the active ingredient in NRX-101 — have the potential to significantly augment the effects of TMS.
NRX-101, an oral combination of D-cycloserine and lurasidone, has been awarded Breakthrough Therapy Designation for the treatment of suicidal bipolar depression (search). The company is also developing NRX-100 (preservative-free intravenous ketamine), which has received Fast Track Designation for suicidal ideation in depression (search), including bipolar depression.
Legal Path Forward
NRx expressed confidence that Dr. Feifel and his counsel "will be directed back to arbitration by the San Diego courts and that this matter will be resolved equitably in a manner that is non-material to NRx and its shareholders." The company added that it does not believe the acquisition or non-acquisition of any individual clinic would be material to HOPE's overall business model, stating that future success depends on developing "new drugs and medical technologies with national and international reach that deliver superior outcomes for patients affected by depression (search), PTSD (search) and other serious medical conditions."
Kadima, represented by Buchalter LLP, is seeking specific performance — a court order compelling the defendants to close the transaction on the terms set forth in the executed agreement. Dr. Feifel, an internationally recognized leader in interventional psychiatry and professor emeritus at the University of California, San Diego, founded Kadima in 2017 and grew it into one of California's leading practices specializing in advanced treatments for mental health conditions, including the world's first clinical ketamine program for psychiatric illness.
