OS Therapies Inc., a developer of Listeria-based cancer (搜索) immunotherapies, announced its intention to spin off its wholly owned subsidiary OS Animal Health (搜索) (OSAH) into a standalone public company on a U.S. national stock exchange in the first half of 2026. The subsidiary is developing OST-HER2, an immunotherapy for canine osteosarcoma (搜索) that leverages the immune-stimulatory effects of Listeria to target the HER2 (搜索) protein.
Strategic Rationale for Spinoff
Paul Romness, MPH, Chairman and CEO of OS Therapies, explained the strategic timing of the spinoff decision. "With a path forward for OST-HER2 in human osteosarcoma (搜索) based upon the FDA's August 18, 2025 Draft Regulatory Guidance that outlines the importance of increasing Overall Survival as the overarching efficacy endpoint in oncology clinical trials, we believe it is now prudent to have a separately financed entity bringing the canine version of this product forward," Romness stated.
The company has spent recent months engaging with key opinion leaders, regulatory experts, management candidates, potential investors, and USDA (搜索)-registered commercial manufacturers to create the critical mass needed for a successful standalone venture.
OST-HER2 Development and Market Potential
OST-HER2 has previously received conditional approval from the U.S. Department of Agriculture (USDA (搜索)) for canine osteosarcoma (搜索). According to Romness, the genetic makeup of osteosarcoma in canines and humans is "like 99% exact," making the cross-species research particularly valuable. "The trials that we've done, both in humans and in canines, are very safe and seem to extend life and control the disease," he noted.
Gerald Commissiong, chief business officer for OS Therapies, emphasized the broader therapeutic potential: "OST-HER2 is a molecularly targeted therapy. So while it does have applications in osteosarcoma (搜索), because many osteosarcoma cases are HER2 (搜索)-positive, the reality is that many cancers beyond osteosarcoma are also HER2-positive."
Market Opportunity and Disease Burden
The veterinary oncology market presents significant growth potential, with projections showing expansion from $1.58 billion in 2024 to $4.77 billion in 2034, driven primarily by the North American market's advanced veterinary infrastructure and high pet healthcare expenditure. According to Grandview Research, canine osteosarcoma (搜索) represents 86% of the veterinary oncology market, approximately $1.35 billion. OS Therapies estimates OST-HER2's addressable opportunity in U.S. canine osteosarcoma to exceed $150 million.
The disease burden differs significantly between species. In dogs, osteosarcoma (搜索) approaches "100% fatality within 12 months," while in humans, approximately 10% of pediatric patients with osteosarcoma die, with half of the 90% who survive experiencing long-term side effects from chemotherapy and surgery.
Regulatory and Manufacturing Considerations
The spinoff addresses distinct regulatory pathways between human and veterinary applications. Commissiong noted "a big distinction" between regulatory processes, explaining that human osteosarcoma (搜索) products must be manufactured in FDA-certified facilities and cannot be used to treat animals, while animal biologic products require USDA (搜索)-sanctioned manufacturing facilities.
Edward Robb, DVM, Animal Health Strategic Advisor for OS Therapies, will take on a senior management position with OS Animal Health (搜索). "Having been a part of the effort to improve the standard of care for dogs with osteosarcoma (搜索) for over a decade, I'm pleased that OS Therapies has made the decision to have the animal health program be housed in a standalone, separately financed venture so that it can receive the attention it deserves," Robb stated.
Recognition and Future Outlook
The science behind OST-HER2 gained recognition through the Emmy-nominated documentary "Shelter Me: The Cancer (搜索) Pioneers," which recently won an Anthem Award in the Documentary or Film under Awareness Categories, Health category. The film highlighted comparative oncology research involving veterinarians and health experts from multiple academic and government institutions.
Romness expressed confidence in regulatory approval, stating, "Given that canine OST-HER2 has previously been conditionally approved by the U.S. Department of Agriculture (USDA (搜索)) for canine osteosarcoma (搜索), and that a seminal publication related to its additional uses in preventing metastatic disease progression and controlling primary disease is forthcoming in the near future, we have a high degree of confidence that USDA will allow OST-HER2 back on the market."
