At the J.P. Morgan Healthcare Conference in San Francisco on Monday, Revolution Medicines CEO Mark Goldsmith remained tight-lipped about the reported negotiations. When asked by J.P. Morgan analyst Brian Cheng about balancing company growth with strategic transactions, Goldsmith responded, "We have very little to say on the latter part of your question since we have an established policy of not commenting on market speculation. But with regard to what we are building, it's not our goal to build something big. It's our goal to build something that's impactful."
Merck's Strategic Imperative
The acquisition interest appears driven by Merck (search)'s urgent need to replace revenue from its blockbuster cancer (search) drug Keytruda, which faces patent expiry in 2028. Keytruda, the second-most sold drug globally after Eli Lilly's GLP-1 tirzepatide, generated an estimated $31.6 billion in sales last year, representing approximately half of Merck's annual revenue.
Merck (search) CEO Mark Davis expressed confidence in the company's acquisition capacity at the same conference, stating he sees opportunities for deals worth "multi tens of billion" dollars. "We are not limited from a balance sheet," Davis said. "It's more, where do we see strategic opportunity?"
Revolution Medicines' key asset appears to be Daraxonrasib, a late-stage oral cancer (search) treatment that has attracted significant pharmaceutical interest. The reported acquisition price of $32 billion represents approximately twice the company's market capitalization prior to the deal reports.
Bidding War Dynamics
The acquisition talks have reportedly involved multiple pharmaceutical companies, suggesting a competitive bidding environment. The Wall Street Journal initially reported on January 8 that AbbVie (search) was in talks to buy Revolution Medicines. However, AbbVie later issued a statement denying it was in acquisition discussions with the oncology biotech. The Financial Times subsequently reported that Merck (search) had entered talks for the acquisition.
This pattern mirrors recent high-profile bidding wars in the biotech sector. Late last year, Pfizer competed against Novo Nordisk for GLP-1 startup Metsera, ultimately acquiring the company for $10 billion, up from an initially agreed $7.3 billion.
Broader M&A Surge
The Revolution Medicines talks occur amid a dramatic surge in biotech M&A activity. Announced global biotech deals totaled $228.4 billion in 2025, up from $132.3 billion in 2024, according to Dealogic data. Many deals were concentrated in the latter half of 2025, following clarity from the Trump administration regarding pharmaceutical policy. Just two weeks into 2026, $9.2 billion in deals have already been announced.
Several major pharmaceutical companies are actively pursuing acquisitions as they face patent cliffs on key revenue drivers. Pfizer's chief financial officer Dave Denton indicated the company has approximately $6 billion in "firepower" earmarked for acquisitions, particularly in Immunology & Inflammation. "That's where we'd likely look to supplement through business development over time," he said.
Novo Nordisk CEO Mike Doustdar told Bloomberg the company is "in the market for big or small" acquisitions. Novo faces its own patent expiry challenge with blockbuster diabetes (search) drug Ozempic losing US patent protection in 2031. "As long as it's complementary to our own assets, then we can go very big, very big in buying something in, but it has to be worth it and it has to be so much better than whatever we have," Doustdar said.
Additional M&A Activity
The Revolution Medicines talks represent part of a broader wave of pharmaceutical acquisitions. Eli Lilly is reportedly in talks to acquire French biotech Abivax for €15 billion, driven by interest in Abivax's obefazimod, which showed positive Phase 3 trial results for inflammatory bowel disease (search) treatment in July.
"If you are Big Pharma, you cannot ignore that this product may be one of the most used products in the next decade," Abivax CEO Marc de Garidel said at the J.P. Morgan Healthcare Conference.
Viking Therapeutics, a late-stage GLP-1 biotech with a market value exceeding $3 billion, has also attracted acquisition interest. CEO Brian Lian suggested on Tuesday that "the interest is probably broader than is visible. I think that there are more parties sort of circling the space and are very intrigued."
The surge in M&A activity reflects pharmaceutical companies' strategic imperative to replace revenue from drugs losing patent protection while capitalizing on advancements in gene therapies and oncology treatments. For some Big Pharma companies, business development spending now equals or exceeds traditional research and development investments.
