Swiss pharmaceutical giant Roche has entered the competitive obesity drug market through a $2.7 billion acquisition of Carmot Therapeutics (search), a Berkeley-based biotechnology company developing clinical-stage incretin therapies. The deal, announced December 4, 2023, includes additional milestone payments of up to $400 million and is expected to close in the first quarter of 2024.
Strategic Entry into High-Growth Market
The acquisition gives Roche access to a differentiated portfolio of incretin-based therapies targeting obesity and diabetes, positioning the company to compete against market leaders Novo Nordisk and Eli Lilly. Analysts estimate the obesity drug market could reach $100 billion in annual revenues, with current demand for existing treatments far exceeding supply.

Lead Asset Shows Promise
Carmot's flagship candidate, CT-388, is a Phase-2 ready dual GLP-1/GIP receptor agonist administered as a once-weekly subcutaneous injection. The drug targets obesity treatment in patients with and without type 2 diabetes and belongs to the same class as Eli Lilly's Mounjaro (tirzepatide), marketed as Zepbound for obesity.
"We are encouraged by the clinical data for the lead asset CT-388, which demonstrated substantial weight loss in Phase 1b," said Levi Garraway, Roche's Chief Medical Officer and Head of Global Product Development. "These data suggest the potential for a differentiated profile to treat obesity and its associated diseases."
The existing clinical data for CT-388 suggests best-in-class potential to achieve and maintain weight loss with differentiated efficacy, according to Roche. The asset also provides opportunities for combination therapies with existing Roche pipeline assets, including those focused on preserving muscle mass during weight loss.
Comprehensive Pipeline Portfolio
Beyond CT-388, the acquisition includes two additional clinical-stage candidates:
CT-996 is a once-daily oral, small molecule GLP-1 receptor agonist currently in Phase 1 development for treating obesity in patients with and without type 2 diabetes. This oral formulation offers an alternative to injectable therapies currently dominating the market.
CT-868 represents a Phase 2, once-daily subcutaneous injectable dual GLP-1/GIP receptor agonist specifically designed for type 1 diabetes patients with overweight or obesity, addressing an underserved patient population.
The portfolio also includes several preclinical programs, providing Roche with a robust pipeline for future development.
Broader Therapeutic Potential
Incretins are gut hormones secreted after food intake that modulate blood glucose by stimulating insulin secretion and suppressing appetite. Emerging scientific data demonstrate wider biologic effects of incretins across multiple organs including the liver, heart, and brain, suggesting broader therapeutic applications beyond obesity and diabetes.
The incretin-based portfolio could potentially expand to other indications where incretins play a role, including cardiovascular, retinal, and neurodegenerative diseases, offering Roche multiple avenues for future development.
Market Context and Competition
The obesity drug market has experienced unprecedented growth following the success of GLP-1 receptor agonists. Pioneer Novo Nordisk leads with Wegovy, a single GLP-1 agonist, while Eli Lilly's dual-action Mounjaro/Zepbound has gained significant market share. Both companies are scrambling to increase production amid overwhelming demand.
Over 4 billion people are estimated to be obese or overweight by 2035, approaching 50% of the world's population, according to the World Obesity Atlas 2023. This condition is associated with numerous health challenges including type 2 diabetes, cardiovascular diseases, fatty liver, and chronic kidney disease.
Strategic Expansion Under New Leadership
The Carmot acquisition represents part of CEO Thomas Schinecker's aggressive deal-making strategy since taking leadership in March 2023. Roche has pursued multiple acquisitions to rebuild its drug development pipeline following major late-stage trial setbacks in Alzheimer's and cancer immunotherapy.
In October, Roche agreed to pay an initial $7.1 billion to Roivant and Pfizer for rights to an inflammatory bowel disease drug, while AstraZeneca recently paid up to $2 billion for obesity drug rights from China's Eccogene, highlighting intense competition for promising obesity therapeutics.
Transaction Details and Integration
Under the merger agreement terms, Roche will pay Carmot's equity holders $2.7 billion in cash at closing, with additional milestone-based payments of up to $400 million. Upon completion, Carmot's approximately 70 employees will join Roche's Pharmaceuticals Division.
Roche will also gain exclusive access to Carmot's Chemotype Evolution discovery platform in metabolism, strengthening the company's R&D capabilities across cardiovascular and metabolic diseases. The transaction requires regulatory approval under the Hart-Scott-Rodino Antitrust Improvements Act and other customary closing conditions.
Roche shares opened up 1.75% following the announcement, reaching a six-week high on investor optimism about the company's entry into the lucrative obesity market. Zuercher Kantonalbank analysts noted that "the markets are large enough for 'me too' products, particularly when offered at the right price."
