The transaction, which includes commercial and regulatory milestone payments, is expected to close in Q3 2026 at the latest, subject to customary closing conditions including regulatory approvals.
Advanced MRD Technology Platform
Pathlight (search) represents a significant advancement in cancer monitoring technology, utilizing a proprietary combination of whole genome sequencing (WGS) and digital PCR to identify and track large-scale genomic changes known as structural variants (SVs). By optimizing for structural variants, the platform enables ultra-sensitive MRD detection, providing clinicians with enhanced capabilities to monitor treatment response and disease recurrence.
The platform is currently covered by Medicare for cancer recurrence monitoring in early-stage breast cancer across all subtypes and is available for patients within the United States, with plans for international launch following the acquisition.

The acquisition will expand Foundation Medicine's existing monitoring portfolio, which includes FoundationOne Monitor (search) and the company's tissue-informed whole genome sequencing molecular residual disease test available for research use. FoundationOne Monitor is a circulating tumor DNA (ctDNA) monitoring test that uses blood samples to support healthcare providers with clarity on patient response to treatment and inform next steps in care.
Technology Integration and Global Access
Following the transaction's completion, Foundation Medicine plans to leverage Roche's AXELIOS sequencing platform and the Digital LightCycler PCR platform to develop a decentralized MRD solution. This approach will enable patient access in healthcare settings worldwide, significantly expanding the reach of advanced cancer monitoring capabilities.
