The separation, which began trading on November 24, 2025, represents what industry observers call "the starting point of Samsung Bio 2.0," fundamentally restructuring the company's biopharmaceutical operations.
Strategic Restructuring Addresses Client Concerns
The spinoff directly addresses longstanding concerns from major pharmaceutical clients including Pfizer, Merck (search), Roche, and Eli Lilly regarding potential conflicts of interest. These concerns intensified as Samsung Bioepis (search) accelerated development of not only biosimilars (search) but also novel drugs, including antibody-drug conjugate (ADC) cancer (search) treatments, raising client worries about potential leaks of drug development knowledge and manufacturing technologies.
"By spinning off the Bioepis division, whose profitability can fluctuate depending on novel drug development, Samsung Biologics is now positioned for a more stable and predictable growth in corporate value," said Hana Financial Investment analyst Kim Seon-a.
Triangular Development Structure Established
Samsung has created what it calls a "Samsung-style new drug development structure" through a triangular organizational framework. Samsung Bioepis Holdings (search) serves as the strategic holding company managing subsidiary equity and new investment businesses, while EPIS NexLab (search), established on November 11, functions as the new drug platform research organization. Samsung Bioepis (search) handles development, clinical trials, and regulatory approval processes.
The newly established EPIS NexLab (search) will initially focus on developing peptide-based platform technology, with peptides (search) serving to improve drug delivery efficiency and discover new drug candidates. Long-term plans include reviewing development of a bispecific antibody (search) platform for use in the ADC field, though detailed development directions have not been disclosed.
Strong Financial Foundation Despite Funding Challenges
Samsung Bioepis (search) demonstrates robust financial performance, posting record results in 2024 with sales of 1.5377 trillion won and operating profit of 435.4 billion won. Sales increased from 941.4 billion won in 2022, while operating profit rose from 231.5 billion won over the same period. Third-quarter 2025 results showed continued growth with sales of 441 billion won and operating profit of 129 billion won.
The company has developed and launched biosimilars (search) for 11 global blockbuster biologics over 13 years, providing a strong foundation for future expansion. As of year-end 2024, Samsung Bioepis (search) held 703.7 billion won in retained earnings available for distribution.
However, funding constraints present significant challenges. Samsung Bioepis Holdings (search) plans to inject 100 billion won into EPIS NexLab (search), but industry experts consider this insufficient for comprehensive pipeline development.
"100 billion won is sufficient to secure key research talent, build research infrastructure, and conduct proof of concept for the peptide platform, but it is not enough to cover all processes through to platform completion, generation of candidate substances, and commercialization, including licensing out," said Han Hyeong-seop, principal researcher at the Korea Institute of Science and Technology (KIST).
Market Response and Valuation Impact
Samsung Biologics closed at 1.789 million won on its first trading day post-spinoff, down 0.45 percent from its last pre-suspension session. Despite the separation, market sentiment suggests the company's intrinsic value remains largely intact.
Mirae Asset Securities analyst Kim Seung-min revised Samsung Biologics' estimated corporate value to 106 trillion won from 91 trillion won pre-spinoff, setting a price target of 2.3 million won. The combined market capitalization of Samsung Biologics and Samsung Bioepis Holdings (search) reached 93.7 trillion won, representing an increase of approximately 6.8 trillion won from the pre-spinoff market cap of 86.9 trillion won.
Samsung Bioepis Holdings (search) experienced significant volatility, closing at 438,500 won, down 28.23 percent from its debut price of 611,000 won. The decline reflects market expectations for the company to demonstrate tangible results from its biosimilar and novel drug portfolio.
Operational Excellence Continues
Samsung Biologics reported record-high quarterly revenue of 1.26 trillion won in the third quarter, with cumulative sales from January to September reaching 3.27 trillion won, approaching 2024's total sales of 3.5 trillion won. The strong performance resulted from full-capacity operations across Plants 1 to 4 and early ramping of Plant 5 production.
Recent contract wins, including a 1.8 trillion won agreement with a U.S.-based company, signal renewed client confidence following the easing of U.S. policy risks such as tariffs and drug pricing concerns. This development increases the likelihood of additional orders for Samsung Biologics' Plant 5 facility.
The spinoff positions Samsung Biologics for more predictable growth while enabling Samsung Bioepis Holdings (search) to pursue ambitious new drug development programs, though funding sustainability remains a critical factor for long-term success.
