Sanofi Prepares Enhanced Takeover Bid for Ocular Therapeutix Following Rejected $16 Per Share Offer
核心洞察
Sanofi is reportedly preparing a sweetened acquisition offer for Ocular Therapeutix after its initial $16 per share bid was rejected last summer for undervaluing the company.
The French pharmaceutical giant is targeting Ocular's late-stage ophthalmology pipeline, particularly Axpaxli for wet age-related macular degeneration (搜索), which is in Phase 3 trials designed to show superiority over Eylea.
Ocular Therapeutix currently trades at $11.28 per share with a market valuation of approximately $2.4 billion, while its Axpaxli candidate addresses a total addressable market exceeding $10 billion.
Sanofi is reportedly working on a renewed acquisition bid for US biotech Ocular Therapeutix, following the rejection of its initial $16 per share offer last summer, according to French newspaper La Lettre. The Bedford, Massachusetts-based company currently trades at $11.28 per share, representing a market valuation of approximately $2.4 billion.
The French pharmaceutical giant's interest centers on Ocular's late-stage ophthalmology pipeline, particularly its lead candidate Axpaxli (OTX-TKI), a novel intravitreal formulation of axitinib being developed for wet age-related macular degeneration (搜索) (wAMD) and diabetic retinopathy (搜索).
Axpaxli's Competitive Positioning
Axpaxli represents a reformulation of axitinib, originally developed by Pfizer as Inlyta for kidney cancer treatment. Ocular has developed a bioresorbable, intravitreal hydrogel incorporating the VEGF (搜索) inhibitor, which is currently in the Phase 3 SOL-1 trial for wAMD. Results from this pivotal study are expected in the first quarter of this year.
The SOL-1 trial is positioned as the only ongoing pivotal study designed to demonstrate superiority over Regeneron and Bayer's $9.5 billion blockbuster wAMD therapy Eylea (aflibercept 2mg), which also targets VEGF (搜索). Ocular has stated its goal of securing "a potential superiority label and best-in-class durability" with Axpaxli.
Strategic Value Beyond Lead Asset
The potential acquisition would provide Sanofi access to Ocular's drug delivery platform Elutyx, which could have applications for drugs in Sanofi's pipeline with ophthalmological potential. Additionally, Ocular has another candidate, OTX-TIC, in midstage trials for glaucoma (搜索) and ocular hypertension (搜索).
Ocular's current commercial presence includes Dextenza, a corticosteroid used in eye surgery and for treating allergic conjunctivitis, which generates approximately $15 million in quarterly sales.
Sanofi's Acquisition Strategy
This potential deal would mark Sanofi's second major M&A move in recent weeks, following its agreement to acquire vaccine developer Dynavax for $2.5 billion in December. The company has been actively pursuing acquisitions, having purchased vaccines specialist ViceBio for $1.6 billion and Blueprint Medicines for $9.1 billion last year.
These strategic moves come as Sanofi prepares for potential patent protection loss for its top-selling drug Dupixent (dupilumab) in the early 2030s, driving the company's efforts to expand into high-growth therapeutic areas.
Market Implications
The acquisition speculation has driven significant interest in Ocular Therapeutix shares, though the company faces execution risk if a deal fails to materialize. The total addressable market for retinal therapeutics exceeds $10 billion, making Ocular's late-stage assets particularly attractive to major pharmaceutical companies seeking to establish or expand their ophthalmology presence.
Sanofi has not provided official comment on the reported acquisition interest in Ocular Therapeutix.
