Swiss biotech Veraxa Biotech (搜索)'s delayed Nasdaq listing is back on track after the Securities and Exchange Commission resumed review of the company's registration filing following a record 43-day US government shutdown. The Zurich-based oncology therapeutics developer expects to complete its public listing in the first quarter of 2026 through a merger with special purpose acquisition company Voyager Acquisition Corp (搜索).
Xlife Sciences (搜索), which incubated Veraxa and holds a 19.9% stake in the company, announced that the SEC has responded to Veraxa's Form F-4 registration statement originally filed in July 2025. The regulatory agency was unable to review the filing during the government shutdown but has now requested additional information, which Veraxa addressed in an amended filing submitted on November 28, 2025.

Oncology Pipeline and Technology Platform
Veraxa's lead drug candidate is an anti-FLT3 (搜索) antibody currently in early-stage clinical testing for hematological cancers, including acute myeloid leukemia. The company acquired this asset through its 2024 acquisition of Germany's Synimmune (搜索).
The company's long-term focus centers on its BiTAC platform, which uses a novel antibody design to improve patient safety. BiTACs consist of two complementary antibody precursors that only form the therapeutically active molecule when their respective targets are in proximity on cancer cells, reducing the risk of off-target side effects.
Veraxa currently has three BiTAC programs in development, including two focused on lung and pancreatic cancer, while a third targets ovarian and breast cancer. Since announcing its merger intention with Voyager in July, the company has also formed an alliance with Germany's Secarna Pharma (搜索) to add antibody-oligonucleotide conjugates to its capabilities.
SPAC Merger Timeline
The company's extraordinary general meeting to address required shareholder approvals for the business combination is expected to be scheduled in December 2025. Based on the current timeline and assuming customary regulatory progression, Xlife Sciences (搜索) expects Veraxa to complete its Nasdaq listing in the first quarter of 2026.
If the merger completes successfully, Veraxa intends to trade on the Nasdaq under the symbol VERX. The SPAC route has become an increasingly popular alternative to conventional initial public offerings for biotech companies, offering a potentially quicker, simpler, and cheaper process with less scrutiny of finances and operations before listing.
