vTv Therapeutics Raises $80 Million to Advance Phase 3 Trial of Type 1 Diabetes Drug Cadisegliatin
核心洞察
vTv Therapeutics secured $80 million in PIPE financing from healthcare institutional investors and the T1D Fund (搜索) to advance development of cadisegliatin, a potential first-in-class oral adjunctive therapy for type 1 diabetes (搜索).
The funding will support the ongoing CATT1 Phase 3 trial evaluating cadisegliatin's ability to reduce hypoglycemic events (搜索) and improve glycemic control in type 1 diabetes (搜索) patients.
Cadisegliatin is a novel liver-selective glucokinase (搜索) activator that has received FDA Breakthrough Therapy designation, with topline Phase 3 results expected in the second half of 2026.
vTv Therapeutics Inc. has secured $80 million in private placement financing to advance the development of cadisegliatin, a potential first-in-class oral adjunctive therapy for type 1 diabetes (搜索). The PIPE financing, expected to close around September 3, 2025, involves leading healthcare institutional investors and the T1D Fund (搜索): A Breakthrough T1D Venture.
Financing Structure and Participants
The financing includes both existing and new investors. Existing investors include a life sciences-focused institutional investor, Samsara BioCapital (搜索), and the T1D Fund (搜索). New participants include Trails Edge Capital Partners (搜索) and Invus (搜索). TD Cowen (搜索) and Evercore ISI (搜索) are serving as lead placement agents for the transaction.
Under the purchase agreement, vTv is selling 682,018 shares of Class A Common Stock and pre-funded warrants to purchase 4.56 million Class A shares, with accompanying warrants to purchase 5.24 million Class A shares. The purchase price is $15.265 for units consisting of one Class A share and an accompanying warrant, and $15.255 for units with pre-funded warrants. The accompanying warrants carry an exercise price of $22.71 per share.
CATT1 Phase 3 Trial Progress
The funding will primarily support the ongoing CATT1 Phase 3 trial, which is evaluating cadisegliatin's potential to reduce the frequency of level 2 and 3 hypoglycemic events (搜索) and improve glycemic control in people living with type 1 diabetes (搜索). Topline data from the study is expected in the second half of 2026.
"This financing enables us to continue advancing the development of cadisegliatin, including the CATT1 trial, which is evaluating the potential of cadisegliatin to help reduce the frequency of level 2 and 3 hypoglycemic events (搜索) and to improve glycemic control in people living with T1D," said Paul Sekhri, Chairman, President and Chief Executive Officer of vTv Therapeutics.
Novel Mechanism of Action
Cadisegliatin (TTP399) is a novel, oral small molecule, liver-selective glucokinase (搜索) activator being investigated as a potential first-in-class oral adjunctive treatment for type 1 diabetes (搜索). In non-clinical studies, cadisegliatin demonstrated selective liver activity, increasing glucokinase activity independently from insulin, which supports clinical investigation of improved glycemic control through hepatic glucose uptake and glycogen storage.
The drug has received Breakthrough Therapy designation from the U.S. Food and Drug Administration, highlighting its potential to address significant unmet medical needs in type 1 diabetes (搜索) management.
Strategic Investment Rationale
Elizabeth Mily, CEO of the T1D Fund (搜索), emphasized the strategic importance of the investment: "We are pleased to support vTv as they advance cadisegliatin through the CATT1 Phase 3 trial for people with type 1 diabetes (搜索). This funding will enable further investigation of cadisegliatin as an adjunctive therapy to insulin, with the potential to address persistent challenges in glycemic management."
The T1D Fund (搜索)'s participation underscores the potential clinical significance of cadisegliatin in addressing current treatment limitations for type 1 diabetes (搜索) patients, particularly in managing hypoglycemic events (搜索) while maintaining glycemic control.
Company Focus and Pipeline
vTv Therapeutics is a late-stage biopharmaceutical company focused on developing oral, small molecule drug candidates for diabetes and other chronic diseases. The company's clinical pipeline is led by cadisegliatin, currently in Phase 3 development as a potential first-in-class oral glucokinase (搜索) activator for type 1 diabetes (搜索) treatment.
