Aethlon and North Immunology Merge to Advance IL-13 x IL-18 Bispecific Antibody NOR-101 for Atopic Dermatitis

Aethlon Medical, Inc. and privately held North Immunology (搜索), Inc. have entered into a definitive merger agreement for an all-stock transaction that will create a combined company focused on advancing NOR-101 (搜索), a half-life extended anti-IL-13 (搜索) x IL-18 (搜索) bispecific antibody in development for atopic dermatitis (搜索) (AD) and other immune-mediated diseases. The transaction, announced September 17, 2026, is paired with an oversubscribed $180 million private placement expected to fund the combined company's operations into the second half of 2028.
Upon closing, the combined entity will operate as North Immunology (搜索), Inc. and trade on the Nasdaq (搜索) Capital Market under the ticker symbol NRTX. The deal has been approved by the boards of both companies and is expected to close in the first quarter of 2027, subject to closing conditions including stockholder approval by each company, effectiveness of a registration statement filed with the U.S. Securities and Exchange Commission (搜索), Nasdaq approval of the initial listing application, and other customary conditions.
Dual-Pathway Design Targets Type 2 and Non-Type 2 Inflammation
NOR-101 (搜索) is designed to inhibit both the type 2 and non-type 2 inflammation that drives atopic dermatitis (搜索), the most common form of eczema. According to North Immunology (搜索), the bispecific format targets orthogonal inflammatory pathways in immune and inflammatory diseases with the goal of delivering therapies offering best-in-disease efficacy, safety, and patient convenience.
"Monoclonal antibodies targeting type 2 inflammation have transformed the treatment of AD, yet the vast majority of patients still live with substantial disease burden," said Mohit Gupta, Co-Founder and Chief Scientific Officer of North Immunology (搜索). "By simultaneously targeting type 2 and non-type 2 inflammatory pathways that drive AD, we believe NOR-101 (搜索) has the potential to deliver a best-in-disease therapeutic profile."
Like Dupixent, NOR-101 (搜索) is designed to target IL-13 (搜索), a protein that drives inflammation, but it also targets IL-18 (搜索). A presentation on North Immunology (搜索)'s website notes that available therapies only work in a portion of patients or, in the case of AbbVie's Rinvoq, have safety concerns.
Preclinical Profile and Development Timeline
North Immunology (搜索) reported promising bioavailability and an approximately 42-day half-life for NOR-101 (搜索) in a non-human primate pharmacokinetic study. "We are encouraged by NOR-101's preclinical profile, including the promising bioavailability and approximately 42-day half-life observed in our non-human primate PK study," said Jonathan Barr, CEO of North Immunology. "We look forward to executing on our clinical development plan, with multiple data readouts expected through 2028."
The company's Phase 1a study of NOR-101 (搜索) is expected to begin in the first quarter of 2027, with interim pharmacokinetic and safety data expected by mid-2027. North Immunology (搜索) intends to rapidly initiate Phase 1b and Phase 2b studies in atopic dermatitis (搜索) in 2027 and deliver topline data for both studies in 2028.
Transaction Structure and Financing
Under the merger terms, pre-merger Aethlon stockholders are expected to own approximately 4.75% of the combined company, while pre-merger North Immunology (搜索) stockholders, inclusive of private placement investors, are expected to own approximately 95.25%. The combined company is expected to have a pro forma equity value of approximately $346.5 million, inclusive of the private placement. Aethlon stockholders' ownership percentage is subject to reduction to the extent Aethlon's net cash at closing is less than $0.
Aethlon stockholders immediately prior to closing will also receive a contingent value right for each share of common and preferred stock held, entitling holders to net proceeds, if any, received following the closing from a sale, license, transfer, divestiture or other monetization transaction involving Aethlon's legacy Hemopurifier (搜索) business.
The oversubscribed financing was supported by a syndicate of healthcare-focused institutional investors including Bain Capital Life Sciences (搜索), Janus Henderson Investors (搜索), Deep Track Capital (搜索), Longitude Capital (搜索), Soleus Capital (搜索), Invus (搜索), Sirenia Capital Management LP (搜索), funds managed by Farallon Capital Management (搜索), Adage Capital Partners LP (搜索), and TCGX (搜索). The private placement is expected to provide approximately $180 million in gross proceeds, inclusive of the conversion of approximately $34 million of North Immunology (搜索)'s outstanding convertible promissory notes together with accrued interest, premiums and fees.
"This merger and significant financing is expected to provide the capital and public-company platform needed to advance NOR-101 (搜索) into clinical development," Barr said.
Leadership and Legacy Assets
The combined company will be led by North Immunology (搜索)'s existing management team, with North Immunology's board, chaired by Daniel Schneeberger, M.D., MBA, co-founder of North Immunology and managing partner of ADAR1 Capital Management (搜索), becoming directors alongside a number of new independent directors. North Immunology was founded and incubated by ADAR1 Capital Management.
