The December 2025 transaction included significant participation from the company's directors, officers, and executive management, alongside institutional investors.
The financing consisted of a registered direct offering of 10,043,774 American Depositary Shares (ADSs) and a concurrent private placement of pre-funded warrants for 2,563,713 ADSs, with accompanying Series G warrants. The combined purchase price was set at $0.3883 per ADS and warrant under NASDAQ at-market pricing rules.
Innovative ADC Technology Platform
Akari's differentiated approach centers on its proprietary PH1 (搜索) payload, a spliceosome (搜索) modulator designed to disrupt RNA splicing within cancer cells. This mechanism represents a departure from conventional ADC payloads that typically employ tubulin inhibitors and DNA damaging agents.

Debt Conversion and Capital Structure Improvement
In addition to the equity financing, existing note holders agreed to convert approximately $2.5 million of outstanding debt into pre-funded warrants for 6,409,410 ADSs and accompanying warrants at a combined exchange price of $0.4041 per ADS. This debt conversion improves the company's balance sheet while providing additional potential equity capital upon warrant exercise.
All warrants issued in the transaction carry an exercise price of $0.3883 and will be exercisable upon shareholder approval, with a five-year term from the initial exercise date.
Development Strategy and Fund Utilization
The net proceeds will support continued research and development activities, working capital, and general corporate purposes. Ladenburg Thalmann & Co. Inc. (搜索) served as the exclusive placement agent for the offering, which closed on December 17, 2025.
