ALR Technologies SG Ltd (搜索) (OTC: ALRTF), a diabetes (搜索) management company, announced on June 30, 2026 that it has entered into a Letter of Intent to acquire 100% equity of CGM Medical Technology Singapore Pte. Ltd. (搜索) and the assets of CGM Medical Technology Shenzhen Ltd (搜索). The aggregate purchase price totals 200 million ordinary shares and US$45 million, payable upon certain conditions being met.
The strategic move positions ALRT to become a vertically integrated diabetes (搜索) care company with full control over its continuous glucose monitoring (CGM) device supply chain.

"We will own the intellectual property and technology to produce the continuous glucose monitors used in the GluCurve Pet CGM (搜索) and the future human health CGM we will be launching."
Chan emphasized that the acquisition will enable the company to increase margins and maintain full control of its products and services. He further noted that CGM Medical's expertise will contribute to the design, development, and commercialization of additional medical devices for diabetes (搜索) management and other chronic diseases.
Financial Structure and Earn-Out Provisions
Under the terms of the LOI, ALRT will purchase CGM Medical Singapore for 200 million ordinary shares, to be issued upon completion of a definitive agreement, along with an aggregate of US$40 million in the form of an unsecured, non-interest-bearing promissory note payable as an earn-out.
The earn-out structure ties payments to manufacturing milestones. ALRT intends to build a world-class manufacturing facility in the Johor-Singapore Special Economic Zone (JS-SEZ) using the licenses, intellectual property, personnel, and expertise of CGM Medical Singapore. Once the automated facility reaches a rated production capacity of 500,000 CGMs per month, ALRT will begin making monthly payments consisting of 25% of its free cash flow until the US$40 million is fully paid.
For the Shenzhen assets, ALRT will pay up to US$5 million in cash. At closing, US$1 million will be paid upfront, with the remaining balance of up to US$4 million paid through 25% of ALRT's free cash flow.
Manufacturing Scale-Up Underway
ALRT has already initiated the purchase of additional automation equipment valued at US$1.65 million for the CGM Medical Shenzhen operation, which is located at the InnoMax facility in Shenzhen—a medical device manufacturing subsidiary of Foxconn. This equipment is expected to increase rated production capacity to 300,000 units per month.
The production from the Shenzhen facility will be used exclusively to supply units for the ALRT GluCurve Pet CGM (搜索) and the future human CGM, supporting the company's commercialization and growth trajectory.
Timeline and Conditions
Closing of the CGM Medical Singapore acquisition is subject to negotiation and execution of a definitive agreement, satisfactory due diligence, receipt of all required regulatory and third-party approvals, and other conditions. ALRT anticipates entering into a definitive agreement by July 31, 2026, with a target completion date of August 31, 2026.
The CGM Medical Shenzhen acquisition closing is contingent upon the facility reaching a rated production capacity of 300,000 CGMs per month, among other conditions. ALRT expects to enter into a definitive agreement by August 31, 2026, with completion targeted for January 31, 2027.
