The transaction, announced on May 12, 2026, replaces the company's existing debt facility and provides structured funding tied to regulatory and commercial milestones.
Structured Financing Supports Product Launch Strategy
The refinancing provides immediate access to $55 million, which was primarily used to repay Aquestive's existing $45 million loan plus associated fees. The agreement includes milestone-based funding tranches designed to align capital availability with Anaphylm's development progress. Upon FDA approval of Anaphylm and satisfaction of customary conditions, an additional $20 million will become available. A third tranche of $25 million is contingent on achieving specified sales milestones, while a final tranche of up to $50 million requires mutual consent between the lenders and the company.
"The new $150 million debt facility will help Aquestive drive growth for years to come," said Daniel Barber, CEO of Aquestive Therapeutics. "With this agreement, we reduce our principal debt repayments over the next three years from $45 million to zero, reduce our interest rate when compared to the previous debt agreement, complete the pre-approval requirements under our strategic funding agreement with RTW Investments (搜索), L.P., and unlock additional capital for the potential launch of Anaphylm, if approved by the FDA."
Novel Epinephrine Delivery Technology
Anaphylm (dibutepinephrine) sublingual film represents a polymer matrix-based epinephrine prodrug designed to address limitations of current anaphylaxis treatments. The investigational product is similar in size to a postage stamp, weighs less than an ounce, and begins to dissolve on contact with the sublingual tissue. No water or swallowing is required for administration, potentially offering advantages in emergency situations where patients may have difficulty with traditional injection devices.
The primary packaging for Anaphylm is designed to be thinner and smaller than an average credit card, allowing it to be carried in a pocket while withstanding weather excursions such as exposure to rain and sunlight. The FDA has conditionally approved the Anaphylm trade name for AQST-109, with final approval of the proprietary name conditioned on FDA approval of the product candidate.
Strategic Partnership with Life Sciences Investor

The firm manages $223 billion in assets under management as of December 31, 2025, and specializes in alternative investments with an opportunistic, value-oriented approach.
Broader Pipeline and Platform Technology
Beyond Anaphylm, Aquestive is developing AQST-108, an epinephrine prodrug topical gel for various potential dermatological conditions, including alopecia areata. The company's AdrenaVerse platform contains a library of more than 20 epinephrine prodrugs, enabling pursuit of various potential allergy and dermatological indications.
Aquestive operates as both a developer of proprietary products and a Contract Development and Manufacturing Organization (CDMO), with headquarters in New Jersey and U.S.-based manufacturing facilities in Indiana. The company is the exclusive manufacturer of four commercialized products marketed by licensees across six continents using proprietary technologies like PharmFilm.
The five-year debt facility requires only interest payments during the term, with all principal amounts due at maturity. Cantor Fitzgerald (搜索) served as the sole placement agent to Aquestive, while Dechert LLP acted as counsel to Aquestive and Morgan, Lewis & Bockius LLP served as counsel to Oaktree.
