Under the agreement announced February 23, 2026, Vir Biotechnology will receive $335 million in upfront and near-term payments, comprising $240 million in cash, a $75 million equity investment at a 50% premium to the 30-day volume-weighted average price, and a $20 million near-term milestone. The collaboration also includes up to $1.37 billion in additional development, regulatory and sales milestones, along with tiered double-digit royalties on ex-U.S. net sales.
Addressing Critical Unmet Medical Need
The collaboration targets metastatic castration-resistant prostate cancer (搜索) (mCRPC (搜索)), an aggressive form of the disease with limited treatment options. According to the companies, mCRPC has a 5-year survival rate of approximately 30%, highlighting the significant unmet medical need. Patients who progress to mCRPC develop therapeutic resistance and currently face limited therapeutic alternatives.

Novel Dual-Masked Technology Platform
VIR-5500 represents a potential best-in-class dual-masked Prostate-Specific Membrane Antigen (搜索) (PSMA (搜索))-targeting T-cell engager currently in Phase 1 development for advanced, metastatic prostate cancer (搜索). The investigational therapy combines a bispecific PSMA and CD3 (搜索) binding T-cell engager with PRO-XTEN masking technology, designed to keep the T-cell engagers masked or inactive until they reach the tumor microenvironment.
This masking approach aims to reduce off-target effects and improve the therapeutic index compared to conventional T-cell engagers. The technology addresses a key challenge in T-cell engager development, where systemic activation can lead to significant toxicities that limit dosing and efficacy.

Development and Commercialization Structure
The partnership establishes a shared development model with Astellas responsible for 60% of global development costs and Vir Biotechnology covering 40%. Vir will continue the ongoing Phase 1 trial until responsibility transitions to Astellas, after which Astellas will lead all development activities.
For commercialization, the companies will split U.S. profits and losses equally (50/50), with Vir retaining the option to co-promote VIR-5500 alongside Astellas in the U.S. market. Astellas will have exclusive commercialization rights outside the United States.
The transaction remains subject to customary closing conditions, including clearance under the Hart-Scott-Rodino Act. Lazard served as Vir Biotechnology's exclusive financial advisor for the transaction.
Strategic Rationale and Pipeline Strengthening
For Astellas, the collaboration significantly strengthens its oncology pipeline and reinforces its leadership position in prostate cancer (搜索) therapeutics. The company's existing expertise in the disease area, combined with its growing immuno-oncology portfolio of biologics, positions it to maximize VIR-5500's development potential.
The partnership also validates Vir Biotechnology's PRO-XTEN platform technology, which the company believes has broad applications across multiple solid tumor indications beyond prostate cancer (搜索). Under Vir's licensing agreement with Sanofi, a portion of certain collaboration proceeds will be shared with Sanofi, reflecting the platform's origins.
VIR-5500 is currently being evaluated in a Phase 1 clinical trial for patients with advanced, metastatic prostate cancer (搜索), with updated data expected to be presented at the 2026 ASCO Genitourinary Cancers Symposium on February 26.
