BioAtla, Inc. (Nasdaq: BCAB), a clinical-stage biotechnology company developing Conditionally Active Biologic (CAB) antibody therapeutics for solid tumors (搜索), announced on November 21, 2025, that it has secured up to $22.5 million in flexible financing agreements. The company entered into Pre-paid Advance Agreements with an affiliate of Yorkville Advisors Global (搜索) and funds managed by Anson Advisors Inc. (搜索) for an aggregate $7.5 million advance, plus a Standby Equity Purchase Agreement with Yorkville for up to $15 million in common stock purchases over three years.

Financing Structure and Terms
The pre-paid advance totals $7.5 million purchased at 95% of face value, providing $7.125 million in gross proceeds at closing. The advance accrues interest at 4% and may be repaid in cash or converted into common stock based on a conversion price equal to the lower of $1.39 or 95% of the lowest daily volume-weighted average price (VWAP) over a trading day look-back period beginning no earlier than November 18, 2025.
Under the Standby Equity Purchase Agreement, Yorkville has committed to purchase up to $15 million of common stock at a 3% discount to current market prices over three years, subject to certain conditions and if BioAtla exercises its option. Tungsten Advisors (搜索) served as the sole placement agent for these agreements.
CAB Platform Technology and Pipeline
BioAtla utilizes its proprietary CAB platform technology to develop novel, reversibly active monoclonal and bispecific antibodies and other protein therapeutic product candidates. CAB product candidates are designed to have more selective targeting, greater efficacy with lower toxicity, and more cost-efficient and predictable manufacturing than traditional antibodies.
The company has extensive worldwide patent coverage for its CAB platform technology and products with greater than 780 active patent matters, more than 500 of which are issued patents. Patent coverage spans all major markets and includes methods of making, screening and manufacturing CAB product candidates in various formats, plus composition of matter coverage for specific products.
Lead Asset: Ozuriftamab Vedotin
Ozuriftamab vedotin (Oz-V) is a conditionally and reversibly active antibody drug conjugate directed against ROR2 (搜索), a transmembrane receptor tyrosine kinase present across many solid tumors (搜索) including head and neck, lung, triple-negative breast cancer (搜索) and melanoma (搜索). Overexpression of ROR2, a noncanonical wnt5A signaling receptor, is driven by oncoproteins associated with HPV infection and forms a cancer axis associated with poor prognosis and resistance to chemo- and immunotherapies.
This Phase 3-ready clinical asset targets multiple solid tumor indications, including treatment of patients with oropharyngeal squamous cell carcinoma (搜索) (OPSCC) who have previously experienced progression on PD-1 (搜索)/L1 therapies and platinum chemotherapy. The FDA granted Fast Track Designation to ozuriftamab vedotin for the treatment of patients with recurrent or metastatic squamous cell carcinoma of the head and neck (搜索) (SCCHN).
Bispecific T-Cell Engager Development
BioAtla is developing BA3182 as a potential anticancer therapy for patients with advanced adenocarcinoma (搜索). BA3182 is a CAB EpCAM (搜索) x CAB CD3 (搜索) bispecific T-cell engager antibody containing two binding sites for EpCAM and two binding sites for CD3ε. The binding sites are designed to bind their respective targets specifically and reversibly under tumor microenvironment conditions while having reduced binding outside the tumor microenvironment.
The CAB selective binding to both the EpCAM (搜索) and CD3ε arms is required to activate T-cell engagement against the tumor, enabling combined selectivity of each CAB binding arm in the bispecific antibody. BioAtla continues to advance the ongoing Phase 1 study evaluating the safety, pharmacokinetics, and efficacy of BA3182 in advanced adenocarcinoma (搜索) patients.
