BioRestorative Therapies has completed a $1.085 million registered direct offering to fund its stem cell-based therapeutic programs, including clinical trials for its lead candidate BRTX-100 and development of metabolic disorder treatments. The clinical-stage company sold 678,125 shares at $1.60 per share to accredited and institutional investors, representing a premium to the October 3, 2025 closing price of $1.50.
The offering included concurrent private placement warrants to purchase up to 508,594 additional shares at $2.75 per share, providing 75% warrant coverage. The warrants become exercisable six months after issuance and remain valid for five years. Alere Financial Partners served as the exclusive placement agent, with closing expected around October 8, 2025.
Lead Stem Cell Therapy Shows Clinical Promise
BRTX-100, the company's flagship therapeutic candidate, represents an autologous mesenchymal stem cell therapy derived from patients' bone marrow. The treatment targets painful lumbosacral disc disorders through a minimally invasive outpatient injection procedure directly into damaged discs. The company has commenced a Phase 2 clinical trial evaluating BRTX-100 for chronic lower back pain (搜索) arising from degenerative disc disease (搜索).
The therapy addresses patients whose pain persists despite non-invasive treatments and who may otherwise require surgical intervention. BioRestorative's proprietary production process involves collecting patient bone marrow, isolating and culturing stem cells, and cryopreserving the cells for therapeutic use.
The FDA has granted Investigational New Drug clearance for BRTX-100 to treat chronic cervical discogenic pain (搜索), expanding the potential clinical applications beyond lower back conditions.
Metabolic Program Targets Obesity and Diabetes
BioRestorative's ThermoStem program develops cell-based therapies for obesity (搜索) and metabolic disorders (搜索) using brown adipose-derived stem cells (BADSC). The approach aims to generate brown adipose tissue (搜索) (BAT) that mimics naturally occurring brown fat depots responsible for metabolic homeostasis regulation.
Initial preclinical research indicates that increased brown fat amounts in animals correlate with enhanced caloric burning and reduced glucose and lipid levels. Clinical observations suggest people with higher brown fat levels may face reduced risk for obesity (搜索) and diabetes (搜索). The program also investigates exosomes secreted by BADSC for potential weight loss applications.
Commercial Platform Expansion
The company operates a commercial biocosmeceutical platform producing cell-based secretomes containing exosomes, proteins, and growth factors. Manufacturing occurs in a cGMP ISO-7 certified clean room facility, with current products targeting fine line and wrinkle reduction.
BioRestorative plans to expand this commercial offering to include a broader family of cell-based biologic aesthetic products and therapeutics through IND-enabling studies, aiming to secure FDA approvals in the emerging biocosmeceuticals sector.
