The deal positions BioStem to expand its presence in the acute wound care (搜索) market while allowing BioTissue to concentrate exclusively on ocular therapeutics.
Strategic Acquisition Details
Under the definitive asset purchase agreement, BioStem acquired exclusive rights to BioTissue's Neox (搜索)® and Clarix (搜索)® product lines, along with the associated commercial infrastructure. The transaction includes a nationwide network of direct sales representatives and independent sales agents, as well as prominent Group Purchasing Organization (GPO) contracts that provide immediate access to hospital inpatient and outpatient care settings.
The acquired assets generated approximately $29 million in sales in 2025 and are expected to contribute positive EBITDA for BioStem in 2026. Post-closing, BioStem's cash and restricted cash balance stands at approximately $16 million.

Commercial Integration and Leadership
BioStem has promoted industry veteran Barry Hassett to Chief Commercial Officer to lead the newly combined commercial team. Hassett brings over 25 years of industry experience, including five years with BioTissue where he served as Vice President of Marketing and led the initial development of both the surgical and wound care business and ophthalmic portfolio.
The integration significantly expands BioStem's internal commercial organization, creating direct pathways into new markets including acute surgical wounds, burns (搜索), and soft-tissue repair segments. BioTissue's surgical sales team and key support staff will join BioStem's commercial organization, while BioTissue will continue manufacturing these products for BioStem.
BioTissue's Strategic Refocus
The divestiture allows BioTissue to concentrate its commercial strategy on advancing interventional therapies for acute and chronic ocular surface conditions (搜索). The company will focus on its ocular product portfolio, including Prokera (搜索)®, CAM360 AmnioGraft (搜索)™, AmnioGraft®, and AmnioGuard (搜索)®, while prioritizing product innovation, professional education, and comprehensive customer support for the eye care market.
