Clover Health Delivers First Full-Year Profitability Trajectory as AI-Powered Care Model Drives 48% Membership Growth

Clover Health Investments, Corp. (Nasdaq: CLOV) reported second quarter 2026 results that mark a decisive shift toward sustained profitability, driven by the maturation of its Medicare Advantage (搜索) member cohorts and the deployment of its AI-powered Clover Assistant (搜索) platform. The company delivered GAAP net income of $28 million for the quarter—an improvement of $39 million compared with the prior year's net loss—while growing Medicare Advantage membership 48% year over year to 157,309 members.
"Our results demonstrate that a wide-network, full-risk Medicare Advantage (搜索) model can deliver better health outcomes, meaningful growth, and increasing profitability at the same time," said Clover Health CEO Andrew Toy. "We are continuing to bring our AI-powered Clover Assistant (搜索) platform to more physicians and more members, empowering earlier intervention, more personalized care, and better health outcomes."
Financial Performance and Operating Leverage
Total revenue for the second quarter reached $743.2 million, up 55.6% year over year, while consolidated gross profit totaled $153 million, representing 53.6% growth. Non-GAAP adjusted EBITDA rose 139.2% year over year to $40.9 million, reflecting improved operating leverage as the business scales.
Adjusted SG&A declined to 15.1% of total revenue from 17.3% in the prior-year period, a 220-basis-point improvement. Salaries and benefits expense fell 11.7% year over year to $54.1 million, while stock-based compensation dropped to $9.1 million from $26.2 million in the second quarter of 2025.
The insurance segment reported revenue of $737.8 million, up 57% year over year, with net medical claims incurred of $615.4 million. The insurance benefits expense ratio (BER) improved 80 basis points to 87.6%, reflecting favorable medical cost trend development.
Cohort Maturation as the Core Earnings Engine
Management emphasized that the company's confidence in 2027 is grounded in the continued maturation of member cohorts under Clover Assistant (搜索), rather than the star rating outcome alone. The company has previously disclosed that cohorts typically improve by approximately $70 PMPM in gross profit as members transition from their first to second year of enrollment.
"The underlying performance of our Medicare Advantage (搜索) business continued to strengthen through the first half of the year, with cohort economics improving year-over-year as expected, giving us the confidence to raise our full-year 2026 outlook," said Interim CFO Clay Thornton. "As more members mature under our technology-powered care model, we expect improving clinical outcomes to translate into stronger economics over time."
The 2025 membership cohort, which represented a first-year margin headwind last year, now constitutes 21% of total current members and is demonstrating meaningfully stronger economics in its second year. The 2026 cohort represents 28% of total members and is tracking in line with management expectations for early-life patterns. Clover Assistant (搜索) engagement for the 2025 and 2026 cohorts is currently in the low 60% range.
Updated Full-Year 2026 Guidance
Following strong first-half execution, Clover Health raised its full-year 2026 guidance across all primary metrics. The company now expects average Medicare Advantage (搜索) membership of 156,000 to 158,000 members, total revenue of $2.92 billion to $3.00 billion, consolidated gross profit of $525 million to $555 million, adjusted EBITDA of $70 million to $85 million, and GAAP net income of $20 million to $35 million.
Through the first half of 2026, the company generated $81 million of adjusted EBITDA and $55 million of GAAP net income, compared with an $11.9 million net loss in the first half of 2025. Operating cash flow totaled $133.1 million, a marked improvement from the $10.9 million outflow in the prior-year period.
Star Rating Recalculation and Pending Appeal
All of Clover Health's Medicare Advantage (搜索) members are now enrolled in plans rated 4.5 stars for payment year 2027, following a court-ordered recalculation by CMS. Management framed the higher rating as providing flexibility for reinvestment, while emphasizing that the underlying model economics are driven by clinical decisions powered by Clover Assistant (搜索).
"Four and a half stars matters. It gives us more room to reinvest in members, maintain a highly competitive product, support growth, and expand profitability. It does not create the economics of our model," Toy stated.
CMS has filed notice of its intent to appeal the District Court's decision. Toy indicated the company believes the ruling was "thorough and well-reasoned" and that Clover is prepared to defend it on appeal.
Balance Sheet and Strategic Outlook
Clover Health ended the quarter with $443 million in cash and investments, an increase of $53.7 million since the second quarter of 2025, while continuing to operate with zero debt outstanding. Strategic focus remains on core markets in New Jersey and Georgia, where management sees the strongest ability to engage members clinically and manage long-term unit economics.
Looking ahead, the company is expanding its use of AI beyond clinical decision support. "We're now moving quickly to bring AI into our back office insurance operations themselves," Toy said, citing goals of improving claims processing speed and accuracy while lowering administrative overhead.
On medical cost trends, Thornton noted that outpatient trends "remain elevated from prior years" despite moderating from peaks seen in March, while year-one member utilization is "tracking below the comparable new member cohort from a year ago." The company also identified dental cost performance as an area of improvement following changes to out-of-network dental claims management.
