The acquisition agreement includes a contingent value right (CVR) that will distribute iTeos' net cash in excess of $475 million to shareholders, along with 80% of net proceeds from any product candidate sales within six months of the transaction's completion. iTeos' board of directors unanimously approved the deal, stating it serves "the best interests of all iTeos stockholders."
TIGIT Program Collapse Triggers Strategic Review
iTeos became an acquisition target following disappointing clinical results for belrestotug, an IgG1 monoclonal antibody targeting TIGIT (搜索) that the company was developing with GSK under a June 2021 partnership. The drug was being evaluated for non-small cell lung cancer (搜索) and head and neck cancer (搜索) but delivered underwhelming progression-free survival data in two mid-stage studies in May.
The clinical failures prompted GSK to terminate the partnership, leaving iTeos to conduct a targeted business review to maximize shareholder value. Within days of the partnership's collapse, iTeos concluded that winding down operations represented the best strategic option for the company, which held over $600 million in cash reserves.
Concentra's Acquisition Strategy Continues
The iTeos acquisition marks the latest in Concentra's aggressive buying spree of distressed biotech companies. Earlier this month, the Tang Capital (搜索)-backed firm acquired cell therapy specialist Cargo Therapeutics for $202 million upfront plus CVR payments. Cargo had paused its Phase II trial for CAR-T candidate firicabtagene autoleucel due to safety concerns in January, subsequently reducing its workforce by 50% and later laying off 90% of remaining staff.
Concentra's 2024 acquisition activity has included deals with Elevation Oncology, Kronos Bio, Allakos, and IGM Biosciences, establishing the company as a prominent consolidator in the biotech sector.
Pipeline Assets Under New Ownership
Beyond the failed TIGIT (搜索) program, iTeos brings several development-stage assets to Concentra. The company's pipeline includes EOS-984, an ENT1 (搜索)-inhibitor in Phase I development for solid tumors (搜索), and EOS-215, an anti-TREM2 (搜索) antibody also in Phase I trials for solid tumors. Additionally, iTeos has preclinical work on an obesity (搜索) program targeting ENT1.
The transaction is expected to close in the third quarter of 2024, with Concentra commencing its tender offer by August 1. iTeos shares traded at $10.14 at Monday's close, down 1.22% from Friday's closing price of $10.26.
