The ATM program operates under a sales agreement with Citizens JMP Securities (搜索) as placement agent, with terms and conditions remaining unchanged from the original September 2025 agreement.
DBV Technologies, a late-stage biopharmaceutical company headquartered in Châtillon, France, announced on July 17, 2026 the filing of a new automatic shelf registration statement on Form S-3ASR with the U.S. Securities and Exchange Commission (SEC) to renew its at-the-market (ATM) offering program. The renewed program provides for the sale of American Depositary Shares (ADSs), each representing five ordinary shares, for aggregate gross proceeds of up to $150 million.
The ATM program was established under a sales agreement dated September 5, 2025 with Citizens JMP Securities (搜索), LLC acting as placement agent. Under the terms, DBV Technologies may offer and sell ADSs from time to time, subject to limitations imposed by French regulations. The newly filed prospectus supplement integrates both previously registered but unsold ADSs and newly registered capacity, ensuring that $150 million remains available for issuance and sale under the sales agreement. All terms and conditions of the ATM program remain unchanged.
Capital Allocation Strategy
DBV Technologies outlined a clear allocation strategy for the net proceeds from ADS sales. The company intends to direct funds primarily toward expanding its manufacturing capabilities, advancing Biologics License Applications (BLAs) for VIASKIN® Peanut in children aged 4 to 7 years and 1 to 3 years, and preparing for the commercial launch of VIASKIN® Peanut in the 4-to-7-year-old population, subject to regulatory approval. Additional uses include continued development of product candidates and general working capital and corporate purposes, at the company's discretion.
The VIASKIN® Platform and Food Allergy Pipeline
DBV Technologies focuses on developing treatment options for food allergies (搜索) and other immunological conditions with significant unmet medical need. The company's proprietary VIASKIN® platform utilizes epicutaneous immunotherapy (EPIT), a non-invasive treatment approach designed to deliver microgram quantities of a biologically active compound to the immune system through intact skin. EPIT aims to modify an individual's allergic response by re-educating the immune system to become desensitized to allergens, leveraging the skin's immune tolerance properties.
Food allergies (搜索), caused by a hypersensitive immune reaction, are characterized by symptoms ranging from mild to life-threatening anaphylaxis. Millions of people live with food allergies, including young children. DBV Technologies' ongoing clinical programs include trials of VIASKIN® Peanut in young children aged 1 to 3 years and children aged 4 to 7 years with peanut allergy (搜索).
Regulatory and Listing Details
