The financing includes the potential for an additional $14.4 million upon warrant exercise, subject to shareholder approval.
Financing Structure and Strategic Use
The offering consists of 4,386,037 shares of common stock and pre-funded warrants priced at $2.85 per unit under Nasdaq at-the-market rules, with accompanying warrants exercisable at $3.28 per share. Maxim Group LLC (搜索) served as the sole placement agent for the transaction.

In a separate development announced December 2, 2025, Dogwood filed new composition of matter intellectual property protection for synthetic Halneuron. The synthetic manufacturing process offers significant advantages over the naturally harvested version, providing higher manufacturing yields and reduced production costs.
"We plan to use synthetically manufactured Halneuron in both Phase 3 development and commercialization," Duncan explained. "This new synthetic process builds on our proprietary and best-in-class manufacturing know-how, with potential to reset our exclusivity period for 20 years, thus providing ample opportunity to deliver Halneuron's full commercial potential."
Clinical Development Program
Halneuron is a first-in-class, non-opioid NaV 1.7 inhibitor designed to treat chemotherapy-induced neuropathic pain (搜索) (CINP (搜索)). The drug has received FDA fast track designation for CINP treatment, reflecting the significant unmet medical need in this patient population.
As a highly specific voltage-gated sodium channel modulator, Halneuron targets a mechanism known to be effective for reducing pain (搜索) transmission.
