核心洞察
Brazilian drugmaker EMS (搜索) acquired Sanofi's generic drug unit Medley (搜索) for over $500 million, positioning the company to capture approximately 30% of Brazil's generic drug market.
The acquisition serves as a platform for EMS (搜索)'s international expansion strategy, with plans to enter the US market after 2030 and pursue additional deals in Mexico and Eastern Europe.
EMS (搜索) is preparing to launch its own semaglutide-based injector pens in Brazil as patent protection for the diabetes (搜索) and weight-loss drug expires, competing with rival Hypera's generic version.
Brazilian pharmaceutical company EMS (搜索) has completed a major acquisition of Sanofi's Brazil-based generic drugmaker Medley (搜索) for more than $500 million, marking a significant step in the company's international expansion strategy. The deal, funded entirely with EMS's own capital, positions the company to capture approximately 30% of Brazil's generic drug market pending regulatory approval.
Strategic Expansion Beyond Brazil
Thiago Tavares, CEO of Grupo NC (搜索) holding, EMS (搜索)'s parent company, outlined ambitious plans for global growth following the Medley (搜索) acquisition. "We should also look beyond Brazil to expand our operations and truly become a more global company," Tavares said in a recent interview. The company is actively pursuing additional acquisitions in existing markets including Mexico and Eastern Europe, with long-term plans to enter the US market after 2030, where it already maintains a preoperational unit.
"I see us with major possibilities for acquisitions, especially abroad," Tavares noted, emphasizing the company's commitment to international expansion beyond its current Latin American and Eastern European footprint.
Semaglutide Generic Launch Preparations
Beyond the Medley (搜索) acquisition, EMS (搜索) is positioning itself to capitalize on the expiring patent protection for semaglutide, the active ingredient in Novo Nordisk's blockbuster diabetes (搜索) and weight-loss drug Ozempic. The company is preparing to launch its own semaglutide-based injector pens as soon as Brazil's regulatory authority Anvisa provides clearance for sale.
"I think the product has already been more than sufficiently tested, so once the approval comes through, we'll launch it," Tavares explained. "It's very feasible to launch it this year." The move puts EMS (搜索) in direct competition with rival Hypera, which has previously announced plans to launch its generic version of semaglutide in 2024.
Market Consolidation and Regulatory Outlook
The Medley (搜索) acquisition represents a strategic pivot for EMS (搜索) after its unsuccessful merger proposal with competitor Hypera Pharma (搜索) in October 2024. Hypera's board unanimously rejected the unsolicited offer, stating it "significantly undervalued" the company. The Medley deal now achieves similar market consolidation through an alternative path.
Tavares expressed confidence in obtaining approval from Brazil's antitrust regulator CADE, citing the presence of strong competitors including Cimed (搜索) and Eurofarma (搜索) in the market. The acquisition marks the end of Sanofi's direct involvement in local generics production in Brazil while transforming EMS (搜索) from a national champion into a Latin American powerhouse with global aspirations.
Company Commitment and Future Vision
A company spokesperson emphasized the strategic importance of the acquisition, stating, "This acquisition reinforces our commitment to expanding access to high-quality medicines in Brazil." The deal represents a turning point for EMS (搜索) as it transitions from domestic market leadership toward becoming a global generics player, with the Medley (搜索) acquisition serving as the foundation for international growth initiatives across multiple markets.
