Investment Structure and Terms
Under the investment agreement, Corning will provide engineering and other resources to Ensurge, with costs convertible into new shares through set-off of accounts receivable. Following each quarter, these costs convert to shares at a predetermined price of NOK 1.11 per share, calculated based on the average closing price over the 10 trading days prior to agreement execution. The maximum convertible amount through this mechanism is $5 million.
Additionally, Ensurge will issue warrants to Corning with an exercise price of NOK 1.50 per share, allowing Corning to invest up to $10 million over a two-year period following approval by an extraordinary general meeting. The warrants will be granted at no charge and registered in the VPS system but will not trade on Euronext Oslo Børs.
