The financing package comprises three components: approximately $17.1 million in cash from Cy Biopharma (搜索)'s pre-acquisition convertible note financing, a private placement expected to yield approximately $21.5 million at initial closing, and up to $38.6 million in a follow-on tranche contingent upon achievement of a clinical trial milestone. The private placement involves the sale of Series C non-voting convertible preferred stock, with a conversion ratio of preferred to common at 1:1,000.
