Fulcrum and Slate Medicines to Combine in Reverse Merger, Advancing Next-Generation Migraine Therapies

Fulcrum Therapeutics, Inc. (Nasdaq: FULC) and Slate Medicines (搜索), Inc., a biotechnology company developing next-generation therapeutics for migraine (搜索), announced on August 17, 2026 that they have entered into a definitive agreement to combine in an all-stock transaction. The resulting entity will focus on advancing Slate's pipeline of potentially best-in-class therapeutics, led by SLTE-1009 (搜索), a clinical-stage subcutaneous anti-PACAP (搜索)/VIP monoclonal antibody for the prevention of migraine and other headache disorders. Upon completion of the merger, the combined company plans to operate under the name Slate Medicines, Inc. and is expected to trade on Nasdaq under the ticker symbol "SLTE."
The merger follows Fulcrum's June announcement that it would discontinue development of pociredir, its investigational sickle cell disease (搜索) drug, after regulators expressed concerns over the rate of secondary blood cancers observed in patients treated with a similarly acting therapy. Fulcrum had spent years developing pociredir, which aimed to boost fetal hemoglobin levels by inhibiting the PRC2 (搜索) protein complex, but the Food and Drug Administration had previously placed a six-month clinical hold on the program over concerns that targeting PRC2 could heighten the risk of hematological cancers.
A New Strategic Direction in Migraine
Slate, which launched earlier this year, has raised $130 million from backers including RA Capital Management and Forbion to fund testing of its experimental medicine targeting PACAP (搜索) (pituitary adenylate cyclase-activating peptide). Rather than pursuing CGRP, a popular target among pharmaceutical companies developing headache drugs, Slate is developing a PACAP inhibitor to treat migraines in patients who do not respond to approved treatments.

SLTE-1009 and the Pipeline
SLTE-1009 (搜索) is a monoclonal antibody designed to bind both PACAP (搜索) and vasoactive intestinal peptide (VIP), two neuropeptides with foundational roles in migraine (搜索) pathophysiology. The dual-targeting approach offers the potential for enhanced efficacy relative to PACAP-only targeting therapeutics through more complete neutralization of the PACAP/VIP pathway. The program was engineered with half-life extension to enable subcutaneous dosing and the potential for quarterly administration.
SLTE-1009 (搜索) has received clearance to enter Phase 1 clinical trials in Australia, with initial pharmacokinetic and safety data anticipated mid-year 2027. The combined company's cash balance at closing is expected to support advancement of SLTE-1009 through a Phase 1 healthy volunteer study and a Phase 2 dose-range finding study in migraine (搜索) patients.
Slate is also developing SLTE-2100 (搜索), a bispecific antibody targeting PACAP (搜索)/VIP and calcitonin gene-related peptide (CGRP), currently in lead optimization. That program is expected to enter clinical trials in the second half of 2027 and is funded through a Phase 2a study in migraine (搜索) patients. Slate is additionally advancing an undisclosed program in the migraine space.
Financing and Transaction Terms
In support of the merger, Slate has secured commitments for an oversubscribed concurrent private placement of $245 million from a syndicate of leading healthcare investors led by Frazier Life Sciences (搜索), with participation from Forbion, RA Capital Management, Deep Track Capital, Foresite Capital, OrbiMed, RTW Investments, and Mingxin Capital. The combined company's cash balance at closing is expected to fund Slate's operations into 2029.
Under the terms of the merger agreement, pre-merger Fulcrum stockholders are expected to own 5.0% of the combined company, while pre-merger Slate stockholders (inclusive of investors participating in the pre-closing financing) are expected to own 95.0%. Fulcrum is expected to contribute approximately $20.3 million in net cash to the combined entity and pay a cash dividend of an estimated $270.0 million immediately prior to the close of the merger to pre-merger Fulcrum stockholders.
The transaction has received unanimous support from the Board of Directors of both companies and is expected to close in the fourth quarter of 2026, subject to customary closing conditions, including stockholder approval from each company, the effectiveness of a registration statement filed with the U.S. Securities and Exchange Commission, and the expiration or termination of the applicable waiting period under the Hart-Scott-Rodino Antitrust Improvements Act.
Leadership and Governance
The combined company will be led by Gregory Oakes as Chief Executive Officer. Slate's leadership team also includes Neil Buckley, President and Chief Operating Officer; Dr. Roger Cady, Chief Medical Officer; and John Umstead, CPA, Chief Financial Officer. Slate's Board of Directors will serve as the board for the combined company and is expected to include Peter Kolchinsky, Managing Partner at RA Capital Management; Tim Lohoff, Principal at Forbion; Michael Rome, Managing Director at Foresite Capital; and Mark Hahn, former CFO of Verona Pharma (acquired by Merck).
