(GenSci (搜索)), has entered into a landmark strategic partnership with RTW Investments (搜索), LP and Yarrow Bioscience (搜索), Inc. for the development of GS-098 (搜索) (YB-101 (搜索)), a clinical-stage, first-in-class humanized monoclonal antibody targeting the thyroid-stimulating hormone receptor (搜索) (TSHR (搜索)) for treating Graves' disease (搜索) and thyroid eye disease (搜索).
The exclusive global ex-China license agreement positions Yarrow Bioscience (搜索) to lead development efforts outside China, while GenSci (搜索) retains rights for development and commercialization within China. Under the terms of the agreement, GenSci will receive a $70 million non-refundable upfront payment, a $50 million near-term development milestone, and additional development, regulatory and commercial milestone payments totaling up to $1.365 billion, along with tiered double-digit royalties on future net sales in licensed territories.
Novel Mechanism Addresses Unmet Medical Need
GS-098 (搜索) (YB-101 (搜索)) is designed to rapidly and efficiently block the pathogenic activity of thyroid-stimulating autoantibodies that drive disease progression in Graves' disease (搜索) and thyroid eye disease (搜索). By selectively binding the TSHR (搜索) and preventing autoantibody-induced receptor activation, YB-101 inhibits the biological pathway responsible for hyperthyroidism (搜索) and orbitopathy (搜索). This targeted mechanism has the potential to provide meaningful clinical benefit while avoiding systemic immunosuppression.
"This novel and targeted approach represents a potential breakthrough for patients who are inadequately controlled with first-line therapies and remain at high risk for complications of GD and TED," according to the companies' joint announcement. In parallel, a Phase 1 trial is being conducted by licensing partner GenSci (搜索) to evaluate the safety and efficacy of YB-101 in patients with thyroid eye disease (搜索) in China.
The combined company's cash balance at closing is expected to fund operations into 2028, including the advancement of YB-101 (搜索) through clinical development. Pre-closing private financings totaling approximately $200 million from a syndicate of industry-leading healthcare investors led by RTW Investments (搜索), with participation from OrbiMed, Janus Henderson Investors, venBio Partners, Logos Capital, LifeSci Venture Partners and Perceptive Advisors, will support these development efforts.

Corporate Structure and Future Plans
In a related development, VYNE Therapeutics Inc. and Yarrow Bioscience (搜索) announced a definitive merger agreement in an all-stock transaction. Upon completion of the merger, the combined company expects to operate as Yarrow Bioscience, Inc. and trade on Nasdaq under the ticker symbol "YARW." The merger has received unanimous approval by the boards of directors of both companies and is expected to close in the second quarter of 2026.
Under the terms of the merger agreement, pre-merger VYNE stockholders are expected to own approximately 3% of the combined company, while pre-merger Yarrow stockholders are expected to own approximately 97% of the combined company. Prior to closing, VYNE expects to declare a cash dividend to pre-merger VYNE stockholders to distribute excess net cash, which is expected to be approximately $14.5 to $16.5 million.
