Groundbreaking AI-Pharma Partnership Structure
Building on their initial collaboration announced in February 2025, the expanded agreement broadens the deployment of Genesis' AI platform, GEMS (搜索) (Genesis Exploration of Molecular Space), across a wider variety of challenging targets in Incyte's portfolio. The platform includes leading foundation models for protein-ligand (搜索) structure and property prediction, enhanced by Incyte's proprietary experimental data.

Financial Terms and Milestone Structure
The comprehensive financial package includes an $80 million upfront cash payment and a $40 million equity purchase in Genesis. Additionally, Incyte will provide recurring research funding to support AI model training and inference compute workloads.
The collaboration will add at least five new targets selected by Incyte, with options to nominate additional targets over time. Incyte retains exclusive rights to develop and commercialize any resulting products.
Genesis stands to receive substantial milestone payments, with up to $232 million available for each program based on preclinical and clinical development, regulatory, and sales achievements. The company could earn over $1 billion if all milestones are achieved across the five initial collaboration targets, including multiple indications and major territories, provided aggregate peak annual net sales exceed specified thresholds.
AI-Driven Drug Development Innovation
The partnership leverages Genesis' breakthrough generative diffusion model Pearl for structure prediction, integrated within the GEMS (搜索) platform that combines AI and physics for drug molecule generation and optimization. Evan Feinberg, Ph.D., Founder and CEO of Genesis, emphasized the strategic value of high-quality proprietary data in advancing molecular AI.

Therapeutic Focus Areas
The collaboration targets Incyte's key therapeutic franchises: hematology (搜索), oncology (搜索), and inflammation (搜索) and autoimmunity (搜索). The company has established a portfolio of first-in-class medicines and maintains an extensive pipeline of next-generation therapeutics across these areas.
Genesis, backed by premier investors including a16z, NVIDIA, Rock Springs Capital, Menlo Ventures, T. Rowe Price, Fidelity, and Radical Ventures, operates from the San Francisco Bay Area with additional locations in San Diego and New York.
