The transaction carries a potential value of up to $100 million, inclusive of milestone payments and exclusive of ongoing royalties.

Transaction Structure and Financial Terms
Under the terms of the agreement, Jupiter will pay an upfront fee of $3.3 million, comprising $1.5 million in cash and $1.8 million in JUNS common stock subject to a 120-day lock-up period. The deal includes a $3.3 million development milestone payment upon enrollment of the first patient in a Phase 3 trial, a $20 million regulatory milestone upon U.S. New Drug Application (NDA) approval, and three commercial milestones of $10 million, $30 million, and $33.3 million triggered at $333 million, $1 billion, and $2 billion in cumulative U.S. net sales, respectively. A 3% royalty on net sales will commence after the third commercialization milestone is achieved.

ALA-002: A Differentiated Psychedelic Therapeutic
ALA-002 is PharmAla's lead drug candidate — a patented, non-racemic MDMA formulation that has received NCE designation from the FDA, which provides enhanced regulatory protection and a five-year data exclusivity period upon approval. The molecule has been designed with the goal of delivering an improved cardiovascular safety profile and reduced abuse liability relative to racemic MDMA, while preserving the pro-social and therapeutic properties associated with MDMA-assisted psychotherapy.
PharmAla's MDMA supply is currently active in U.S. government-sponsored clinical trials conducted by the Department of Veterans Affairs (VA) and the Defense Health Agency (DHA). Under the agreement, PharmAla will continue to manufacture ALA-002 drug product for Jupiter under commercial terms to be negotiated, which the companies state will greatly accelerate Jupiter's development timelines.

The transaction arrives at a pivotal moment in U.S. regulatory policy. On April 18, 2026, President Donald J. Trump signed an Executive Order titled "Accelerating Medical Treatments for Serious Mental Illness," directing the FDA and DEA to expand access to investigational psychedelic therapies. Key provisions include a Right to Try pathway for eligible patients, Commissioner's National Priority Vouchers enabling expedited FDA review timelines of one to two months for psychedelic drugs with Breakthrough Therapy designation, and $50 million in federal funding through ARPA-H for state and federal psychedelic medicine programs.
