Merck Acquires Cidara Therapeutics for $9.2 Billion to Advance Revolutionary Flu Prevention Drug
核心洞察
Merck (搜索) has agreed to acquire Cidara Therapeutics for $9.2 billion in cash, paying $221.50 per share to gain access to the biotech's innovative drug-Fc conjugate platform technology.
Cidara's lead asset CD388 is a long-acting antiviral drug designed to prevent influenza (搜索) A and B for an entire flu season with a single dose, currently in Phase III trials.
The acquisition represents Merck (搜索)'s strategic effort to diversify its pipeline ahead of Keytruda's patent expiration in 2028, following another major $10 billion deal for Verona Pharmaceuticals (搜索) earlier this year.
Merck (搜索) has agreed to acquire Cidara Therapeutics for approximately $9.2 billion in cash, marking the pharmaceutical giant's second major billion-dollar acquisition this year as it seeks to strengthen its pipeline ahead of key patent expirations. The deal, valued at $221.50 per share, will give Merck access to Cidara's innovative drug-Fc conjugate (DFC) platform and its promising lead asset CD388, a long-acting antiviral designed to prevent influenza (搜索).
Revolutionary Approach to Flu Prevention
CD388 represents a fundamentally different approach to influenza (搜索) prevention compared to traditional vaccines. The drug is a small molecule neuraminidase inhibitor linked to an Fc fragment of a human antibody, designed to prevent both influenza A and B strains. Unlike conventional flu vaccines, CD388's efficacy does not require an immune response, as it works independently of the immune system.
"We turned a very potent enzyme inhibitor with poor drug properties into a great enzyme inhibitor with great drug properties. With those properties, it can be administered once per flu season," explained Cidara CEO Jeff Stein in a recent interview.
The current flu vaccine landscape demonstrates significant room for improvement. According to the CDC, during the 2023-2024 flu season, vaccines were only 44% effective. Over the past decade, flu vaccine efficacy has ranged from a low of 19% to a high of 60%, highlighting the persistent challenges in this therapeutic area. During the 2023-2024 season alone, there were 470,000 flu-related hospitalizations and 28,000 deaths.
Clinical Progress and Federal Support
CD388 is currently being evaluated in the Phase III ANCHOR study in adult and adolescent participants at higher risk of developing influenza (搜索) complications. The drug previously demonstrated success in the Phase IIb NAVIGATE study, which helped it secure breakthrough therapy designation from the FDA.
The U.S. government has already recognized the potential of Cidara's technology, awarding the biotech $339 million in funding through the Biomedical Advanced Research and Development Authority (BARDA (搜索)). This federal funding will support domestic manufacturing of CD388 and help establish an initial supply chain for commercialization.
The long-lasting nature of CD388 offers several advantages for national preparedness efforts. "The most meaningful advantage is that we don't have to change the manufacturing process from year to year, right in response to a changing influenza (搜索) virus," Stein noted. "CD388 should be immune to any of that. It's a single manufacturing process that is going to be unchanged. From a sheer economic perspective, it's going to be much more feasible to stockpile a drug like CD388."
Strategic Portfolio Expansion
The Cidara acquisition represents part of Merck (搜索)'s broader strategy to diversify its revenue streams as the company approaches the 2028 patent expiration of its blockbuster cancer (搜索) drug Keytruda. "This acquisition expands and complements our respiratory portfolio and pipeline," said Dr. Dean Li, president of MSD Research Laboratories.
Merck (搜索) CEO Robert Davis emphasized the long-term growth potential: "We intend to build on the Cidara team's remarkable progress and are confident that CD388 has the potential to be another important driver of growth through the next decade, creating real value for shareholders."
The deal follows Merck (搜索)'s $10 billion acquisition of cardio-pulmonary specialist Verona Pharmaceuticals (搜索) in July 2024, demonstrating the company's commitment to major strategic investments. Merck has also been working to extend its product lifecycle through innovations like a subcutaneous formulation of Keytruda, which will remain under patent protection for a longer period.
Recent Performance and Market Position
Merck (搜索)'s stock has climbed 27% over the past month, driven by several developments including the Cidara acquisition announcement. The company reported third-quarter revenue of $17.3 billion, representing a 4% year-over-year increase. New products like Winrevair, which treats pulmonary arterial hypertension (搜索), generated $360 million in third-quarter sales, while pneumonia (搜索) vaccine Capvaxive contributed $244 million.
Citi analysts noted in a research note: "Building upon the Verona acquisition, we believe this deal makes strategic sense as Cidara would build upon the respiratory portfolio with the phase III lead asset, CD388, designed to prevent influenza (搜索) A and B, but we note the flu/vaccine landscape may be challenging given regulatory uncertainty. We note multiple deals may be necessary to offset loss of exclusivity exposure."
The acquisition positions Merck (搜索) to potentially revolutionize a market that continues to face significant unmet medical needs, with CD388 having the potential to achieve blockbuster status if approved and successfully commercialized.
