Merck (搜索), a leading global science and technology company, has entered a strategic research-stage collaboration with Saturnus Bio (搜索), a Versant Ventures (搜索)-founded biotech, to advance next-generation precision cardiology treatments for rare genetic cardiomyopathies. The build-to-buy deal, announced today, includes a $50 million upfront payment from Merck to fund Saturnus' research activities, securing a minority equity stake in the company along with exclusive rights to acquire Saturnus at a later stage.
The partnership targets rare monogenic cardiomyopathies—inherited heart muscle diseases caused by mutations in a single gene—for which there are currently no approved therapies that address the underlying genetic drivers.
A Precision Cardiology Platform
Saturnus Bio (搜索) is positioned as a next-generation precision cardiology company that utilizes targeted gene modulation to address rare monogenic cardiomyopathies with significant unmet need. The company aims to build a pipeline of first-in-class medicines for these conditions, though specific genes, disease subtypes, therapeutic modalities, and development timelines have not been disclosed.

Build-to-Buy Structure and Strategic Rationale
The deal structure includes the upfront $50 million payment, additional success-based preclinical milestones, and a pre-determined option payment should Merck (搜索) exercise its exclusive acquisition rights, along with success-based earnouts. This build-to-buy model allows pharmaceutical companies to help shape a young biotech from inception while deferring a full acquisition decision until early milestones are reached.
Versant Ventures (搜索) has a demonstrated track record with this company-creation model. Bayer acquired the remaining stake in BlueRock Therapeutics in 2019, three years after launching the cell therapy company with Versant and a $225 million investment, in a deal that valued BlueRock at approximately $1 billion. Roche exercised its option to acquire Inception 5, a company created with Versant focused on remyelination therapies for multiple sclerosis. More recently, AstraZeneca exercised its option to acquire SixPeaks Bio, a Swiss obesity biotech launched with Versant in 2024.
