The securities purchase agreement involves the sale of up to 2,222,222 shares of common stock and five-year warrants to purchase up to 2,222,222 shares at a per share exercise price of $9.00, with a combined purchase price of $7.20. NeOnc plans to use the net proceeds for debt repayment, working capital, and general corporate purposes.
