Neurocrine Biosciences Acquires Soleno Therapeutics for $2.9 Billion, Adding First-in-Class PWS Treatment

Neurocrine Biosciences has entered into a definitive agreement to acquire Soleno Therapeutics for $53.00 per share in cash, representing a total transaction equity value of $2.9 billion. The acquisition, announced April 6, 2026, adds VYKAT XR (搜索) (diazoxide choline), the first and only FDA-approved treatment for hyperphagia (搜索) in Prader-Willi syndrome (搜索) (PWS), to Neurocrine's expanding rare disease portfolio.
The deal represents a premium of approximately 34% to Soleno's closing share price on April 2, 2026, and a 51% premium to the company's 30-day volume-weighted average price. Both companies' boards of directors have approved the transaction, which is expected to close within 90 days subject to customary closing conditions, including regulatory approvals.
Strong Commercial Performance Drives Strategic Value
VYKAT XR (搜索) has demonstrated robust early adoption since its FDA approval and U.S. launch in the second quarter of 2025, generating $190 million in 2025 revenue, including $92 million for Soleno in the fourth quarter alone. The therapy is positioned as the foundational first-line treatment for PWS and is supported by a strong intellectual property estate expected to extend into the mid-2040s.

Addressing Critical Unmet Need in Rare Disease
PWS is a rare genetic neurodevelopmental disorder caused by an abnormality in gene expression on chromosome 15 that affects approximately 10,000 patients in the United States. The Prader-Willi Syndrome (搜索) Association USA estimates that PWS occurs in one in every 15,000 live births.
The defining feature of PWS is hyperphagia (搜索), a chronic, life-threatening condition characterized by persistent hunger that drives compulsive, food-seeking behavior. Individuals with PWS also commonly experience cognitive impairment and a range of psychiatric and behavioral challenges. These symptoms can severely diminish quality of life for individuals with PWS and their families, with hyperphagia driving significant morbidity and mortality, including risks of stomach rupture, choking, and accidental death due to food-seeking behavior.
VYKAT XR (搜索) is indicated for the treatment of hyperphagia (搜索) in adults and pediatric patients 4 years of age and older with PWS. The extended-release tablets provide a once-daily oral treatment option for this previously underserved patient population.
Expanding First-in-Class Portfolio
Following completion of the transaction, Neurocrine will have three marketed, first-in-class therapies: INGREZZA (valbenazine), the vesicular monoamine transmitter 2 (搜索) (VMAT2 (搜索)) market leader for tardive dyskinesia (搜索) and chorea associated with Huntington's disease (搜索), with $2.51 billion in 2025 revenue; CRENESSITY (搜索) (crinecerfont), approved in December 2024 for classic congenital adrenal hyperplasia (搜索) due to 21-hydroxylase deficiency, with $301 million in 2025 revenue; and VYKAT XR (搜索).

Safety Profile and Monitoring Requirements
VYKAT XR (搜索) carries important safety considerations requiring careful monitoring. The most common adverse reactions with an incidence ≥10% and at least 2% greater than placebo included hypertrichosis, edema, hyperglycemia, and rash.
Hyperglycemia, including diabetic ketoacidosis, has been reported with VYKAT XR (搜索) use. Before initiating treatment, healthcare providers must test fasting plasma glucose and HbA1c, optimizing blood glucose in patients with hyperglycemia. Regular monitoring of fasting glucose and HbA1c is required during treatment, with more frequent monitoring during the first few weeks in patients with risk factors for hyperglycemia.
The therapy also carries a risk of fluid overload, with edema including severe reactions reported. Healthcare providers must monitor for signs or symptoms of edema or fluid overload, and the drug should be used with caution in patients with compromised cardiac reserve.
Transaction Structure and Financing
Under the merger agreement terms, Neurocrine will commence a cash tender offer to acquire all outstanding shares of Soleno's common stock. The transaction will be funded with cash on hand, and Neurocrine plans to optimize its capital structure by taking on a modest amount of pre-payable debt. The transaction is not subject to any financing condition.
The acquisition is expected to contribute to a more diversified and durable revenue base, expand Neurocrine's commercial reach, and immediately enhance the company's growth profile. Integration of Soleno's operations is expected to drive cost synergies and operational efficiencies as Neurocrine leverages its existing infrastructure.
