Novartis Exercises Option to Acquire Sironax Brain Delivery Platform for $125M Upfront

Novartis has exercised an option to acquire full ownership of Sironax (搜索)'s brain delivery platform, paying $125 million upfront for technology designed to shuttle therapeutics across the blood-brain barrier, the Boston-area biotechnology company said Tuesday.
The nine-figure payout follows the close of the transaction. Sironax (搜索) will retain rights to develop, manufacture and commercialize certain assets using the platform, and plans to use the proceeds to advance three programs currently in early-stage trials.
"This achievement comes at a pivotal time as we advance our clinical-stage pipeline and accelerate the development of promising new therapies," said Shefali Agarwal, President and CEO of Sironax (搜索), in a statement.
An Option Deal Converted to Ownership
The acquisition stems from an agreement inked last year, under which Novartis secured an "option period" to evaluate Sironax (搜索)'s platform along with an exclusive chance to later acquire it. Under that deal, Sironax would have been eligible for up to $175 million in upfront and milestone payments.
Sironax (搜索) did not disclose full details of its potential candidates but described them as "first or potentially best-in-class molecules."
Pipeline Anchored by a Fast-Tracked Neuro Asset
The company's primary asset, SIR2501, is being tested to prevent damage to nerve cells in diseases such as ALS (搜索) and chemotherapy-induced peripheral neuropathy (搜索). That medicine has received a fast track designation from the Food and Drug Administration (搜索).
Two additional assets round out the pipeline: SIR4156 is being developed for "metabolic dysfunction," while SIR9900 is being tested as a potential therapy for inflammatory and immunological diseases.
A Persistent Barrier in Neurological Drug Development
Delivering medications across the blood-brain barrier has remained a critical challenge for both small startups and large pharmaceutical companies. The barrier acts as a protective filter, shielding the organ from toxic substances as well as beneficial medicines.
Several companies have emerged with technologies aimed at circumventing this obstacle, including Aerska, Manifold Bio and Korsana Biosciences. Sironax (搜索) is among them, and its platform drew the attention of Novartis — the Swiss pharma that ultimately moved to acquire it outright.
