(搜索) (CSE: NVRS | FSE: 0NF0 | OTC: MYCOF), a publicly traded biopharmaceutical company focused on next-generation therapies for mental health disorders, has announced two strategic developments: the re-engagement of Applied Pharmaceutical Innovation (搜索) (API) to advance its psilocybin-focused drug development pipeline, and its new membership in the Biotechnology Innovation Organization (搜索) (BIO).
Renewed Partnership with Applied Pharmaceutical Innovation (搜索)
Noveris has re-engaged API, one of Canada's largest life sciences commercialization organizations, under a master services agreement effective May 27, 2026. The collaboration will focus on psilocybin product development, the discovery of novel compounds, and the identification and protection of related intellectual property, including potential patent applications.
The Company initially established its strategic partnership with API in June 2020, but the project was paused in November 2024 due to funding constraints. API has since significantly expanded its research facilities and operations, now including global-scale commercial manufacturing capabilities, making it an ideal partner to support Noveris's objectives.
"API remains an ideal partner to support the Company's objectives of discovering, developing and optimizing intellectual property within the psilocybin sector as well as any other areas of drug development pursued by the Company," the Company stated.
Under the Services Agreement, Noveris has paid a $20,000 retainer to recommence collaborative development efforts. The Company has budgeted a minimum of $100,000 for research and development consultancy services from API during its fiscal year ending December 31, 2026, with services invoiced based on hourly rates. The agreement does not impose a minimum or maximum spend requirement.
API retains ownership of certain work product related to its previous engagement with the Company, and as part of the new engagement will provide recommendations on assets to transfer back to Noveris. Importantly, API is not being granted ownership of Company intellectual property, nor any royalty, licensing, or commercialization rights as part of the current engagement.
BIO Membership Expands Global Reach
In a separate announcement dated July 17, 2026, Noveris revealed that it has joined the Biotechnology Innovation Organization (搜索), the world's largest advocacy association representing biotechnology companies, academic and research institutions, and related organizations across the United States and in more than 35 other countries.

The Company expects its BIO membership to enhance its profile within the broader healthcare and biotechnology landscape, providing access to policy committees, investor and partnering events, industry research, and cost-savings programs. Noveris also anticipates participation in BIO events, including the BIO International Convention.
Stem Cell Initiatives Under Evaluation
Regarding its stem cell and regenerative medicine initiatives, Noveris indicated that its immediate priority remains advancing its existing intellectual property portfolio and the renewed collaboration with API. The Company previously announced on April 29, 2026, that it had entered into a non-binding term sheet contemplating the acquisition of an equity interest in Ell Stem Cells (搜索), a distributor of regenerative medicine products including extracellular matrices, exosomes, and stem cell-based therapies.
Noveris remains in discussions with the vendors of Ell regarding potential avenues to participate in the stem cell distribution market and is evaluating a range of transaction structures, including a joint venture, licensing arrangement, strategic partnership, or equity investment. No definitive agreement has been entered into, and there can be no assurance that any transaction will be completed.
Regulatory Context
The Company's drug development programs are subject to regulatory oversight by Health Canada and other applicable regulatory authorities. The re-engagement with API does not constitute approval of any drug candidate, nor does it represent a change in the regulatory status of any compound in Noveris's pipeline. Noveris focuses on the research, development, and commercialization of next-generation medications to address mental health disorders, including nicotine addiction (搜索) and post-traumatic stress disorder (搜索) (PTSD).
