Organon CEO Resigns Following Internal Investigation Into Nexplanon Sales Practices

The investigation revealed that select US wholesalers were asked to purchase additional quantities of the product at the end of several quarters between 2022 and 2025.
Investigation Findings and Financial Impact
The independent internal investigation, overseen by the audit committee, found that two US wholesalers were encouraged to buy more Nexplanon than necessary during specific periods: the fourth quarter of 2022, the third and fourth quarters of 2024, and the first, second, and third quarters of 2025. This practice, known as "channel stuffing," involves shipping extra products to distributors at the end of reporting periods to inflate current revenue figures.
According to CFO Matt Walsh (搜索), the revenue impact varied by quarter. For the third quarter of 2024, the questionable sales practices resulted in approximately $5 million of pull-forward revenue from the fourth quarter. In the fourth quarter of 2024, approximately $15 million was pulled forward from the first quarter of 2025, creating a net impact of $10 million for that quarter.
Despite these practices, Organon stated that the findings do not necessitate a restatement or revision to any previously issued financial statements. The improper sales represented less than 1% of the company's consolidated revenue for 2022 and 2024, though they enabled the company to meet guidance and certain external revenue expectations.
Leadership Changes and Remediation
Joseph Morrissey (搜索), executive vice president and head of manufacturing and supply, has been appointed interim CEO while the company searches for a long-term leader. Board chair Carrie Cox (搜索) will assume additional responsibilities as executive chair to support Morrissey during the transition.
"The Board has confidence in Joe Morrissey's ability to drive operational excellence," said Cox. "Joe has extensive experience in senior leadership roles and is a highly regarded leader inside the organization."
The company also terminated its head of US commercial and government affairs following the investigation results. Morrissey expressed his commitment to continuing Organon's business strategy, stating, "I look forward to continuing to execute on Organon's business strategy, including further delivering the business and driving cost savings while achieving revenue growth."
Compliance Response and Controls Enhancement
Carrie Cox (搜索) confirmed that the sales practices identified through the investigation have ceased, with new leadership in place in the US commercial sales area. The company is implementing enhanced controls, additional training, expanded written procedures, and other remediation efforts.
Matthew Chandler, a director at consulting firm Epsilon Life Sciences (搜索), noted that the available information suggests a fairly effective compliance process at Organon. "There was an avenue where the concerns were reported. There was audit committee oversight, which at a leadership level was taken seriously. There's seemingly a very swift internal investigation and then the outcome of appointing the new interim CEO and enhancing controls," Chandler said.
Walsh confirmed that revenue was properly recorded in accordance with US Generally Accepted Accounting Principles (GAAP), specifically ASC 606, which provides a framework for recognizing revenue from contracts with customers.
